Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed by the chief financial officer and is then provided to the treasurer for final review before it is filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is distributed, discussed and updated at each board of directors meeting in order for the foundation to monitor and enforce compliance with the policy by all officers and directors.

Form 990, Part VI, Section B, Line 15

Lines 15a and b are marked no because the foundation does not compensate its officers or key employees. American association for thoracic surgery, the foundation's related organization, compensates such individuals and has review and approval processes in place.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are available to the public upon request.

Form 990, Part VI, Section B, Line 14

A document retention and destruction policy is in place at aats, where all employees are located. Aats's policy was adopted by the aats foundation in 2018.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Uncollectible pledges -6,000.

Schedule M, Line 31

A gift acceptance policy that requires the review of any nonstandard contributions was placed into effect as of 2018.

Financial Statement Notes

PART X, LINE 2:

The foundation has been granted tax-exempt status under internal revenue code section 501(c)(3) and is, therefore, generally exempt from federal and state income taxes. Accordingly, no provision for income taxes has been provided for in the accompanying financial statements. Asc 740-10, "income taxes" requires the foundation to evaluate and disclose tax positions that could have an effect on the foundation's financial statements. The foundation reports its activities to the internal revenue service and to the state of illinois and the commonwealth of massachusetts on an annual basis. These informational returns are generally subject to audit and review by the governmental agencies for a period of three years after filing. Substantially all of the foundation's income, expenditures and activities relate to its exempt purpose, therefore, management has determined that the foundation is not subject to unrelated business income taxes and will continue to qualify as a tax-exempt not-for-profit entity.

PART XII, LINE 2D - OTHER ADJUSTMENTS:

Uncollectible pledges 6,000.
