Mission

Naef supports the activities of the national academy of engineering (nae). Nae operates within the charter and framework of the national academy of sciences (nas) and advises the federal government on matters of science and technology. Nae also sponsors engineering programs aimed at meeting national needs, encourages education and research, and recognizes the superior achievements of engineers.

Governance Explanations

Form 990, Part VI, Section A, Line 7A

Each active member of the academy shall be entitled to vote for the election of officers or councillors of the academy.

Form 990, Part VI, Section A, Line 7B

Each active member of the academy shall be entitled to one vote on each matter submitted to a vote at any meeting. Voting on all matters, including the election of officers or councillors, may be conducted by written document between meetings of the membership so long as the total number of votes cast is equal to or greater than the number of voting members required to constitute a quorum at a business session of a stated or special meeting. Ten percent of the active members of the academy, present in person, shall constitute a quorum for any business session of a stated or special meeting.

The director of finance, president and nas office of general counsel review a draft form 990 and discuss questions with their external accountants prior to finalizing the return. The form 990 is made available to the board of trustees before filing.

Form 990, Part VI, Section B, Line 12C

Each year officers and trustees are requested to complete a conflict of interest form and participate in a board discussion of the naef conflict of interest policy and any potential conflicts of an individual officers and trustees. If there was ever a conflict, the board member would recuse himself.

An annual report containing the financial statements is posted to the nae website and is mailed to the nae membership. The development office uses it when fundraising. The financial statements and governing documents are available to the public upon request.

The reporting organization is a related organization of the national academy of sciences and does not have any employees. With respect to its officers and trustees, naef currently utilizes the nas policy on committee composition and balance and conflicts of interest: institutional oversight and non-advisory program activities. Naef also currently follows the nas policy on retention of financial records. All employees are subject to the nas policy on reporting illegal and other improper conduct.

Additional Explanations

Form 990, Public Charity Status Change

On may 23, 2017, the irs issued an updated determination letter confirming that naef meets the requirements for classification as a public charity described in sections 509(a)(1) and 170(b)(1)(a)(vi). Naef provided information to the irs regarding its public support during the 2016 and 2017 tax years, and it has completed schedule a of the 2017 form 990 based on this new public charity status.

Form 990, Part V, Line 3B

National academy of engineering fund is awaiting additional information in order to timely file a complete and accurate form 990-t by the extended deadline of november 15, 2018. The amount shown as net unrelated business taxable income on line 7b of page 1 of the form 990 is an estimate based on available information.

Financial Statement Notes

PART V, LINE 4:

The endowments exist to fund the activities of the national academy of engineering. The endowment funds facilitate programs that address relevant issues in the engineering field and also fund the draper and gordon prizes.

PART X, LINE 2:

The fund is incorporated under the district of columbia non-profit corporation act and is exempt from income taxes under section 501(c)(3) of the internal revenue code. In addition, the fund has been determined by the internal revenue service not to be a private foundation. The fund is required to remit income taxes to the federal government and the district of columbia for unrelated business income. For the years ended december 31, 2017 and 2016, there was unrelated business income of $10,773 and $6,623, respectively. The fund complies with the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the fund may recognize the tax benefit from an uncertain tax position; only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes and accounting in interim periods. The fund had no such positions recorded in the financial statements at december 31, 2017 and 2016. Generally, the fund is no longer subject to u.s. Federal income tax positions by tax authorities for years before 2014.
