The council has members who elect the members of the board of directors annually. These members of the council do not have any additional voting rights regarding decisions made by the board of directors.

The executive committee of the board of directors has reviewed the completed 990, in its entirety, prior to it being filed, for accuracy and completeness. All board members received a copy of the form 990, in its entirety prior to it being filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy pertains to all officers, employees and members of the board of directors. The policy is sent to these individuals annually and an acknowledgement is signed by the individuals and returned to the council, at which time any potential conflicts are to be disclosed. The vice president of the board is responsible for the ethics committee, which monitors the enforcement of the policy and treatment of potential conflicts. Potential conflicts of interest are discussed at board meetings, as needed.

Part VI, Section B, Line 15A

There is no formal policy in place regarding the determination of compensation of the council's executive director. Since initial commencement of employment and determination of salary in fiscal year 2005, there has been no evaluation and there has been no salary increase for this position. In 2010, the executive director's salary was reduced for budgetary reasons. In 2011, his salary was restored and has not been adjusted since this time.
