Governance Explanations

Form 990, Part VI, Section A, Line 2

Mark signorelli (president) and dan signorelli (vice-president) are brothers and co-owners of steelete.

Form 990, Part VI, Section A, Line 8B

The board of directors does not contain any sub-committees. All pertinent information is discussed by the entire board during the board's scheduled meetings.

Form 990, Part VI, Section B, Line 11

The ceo and cfo review the 990 in detail. Each of the board members receives a copy of the 990 to review and the ceo and cfo discuss it with them at the board meeting and answer any questions.

Form 990, Part VI, Section B, Line 12C

At year end, a comprehensive list of all known personal and business relationships is circulated among key employees and directors of the board. This list is discussed with the entire board and updated as necessary. During the year, the cfo monitors the conflict statements and brings to the attention of management and the board if a conflict arises. If a conflict would affect a vote, the director excuses himself or herself from the meeting for this item.

Form 990, Part VI, Section B, Line 15

At the request of the board of directors, an independent compensation study was done by an outside consultant and this information was used to help them in setting officers' compensation. The full board, not including the officers involved, discussed and approved the officers' compensation.
