“The university is aware of relationships between members of the board of trustees, their companies, and other board members and their companies but considers these relationships focused on services normal in the course of business. Michael habel and donald bush, trustees, have a business relationship. Toby rau, trustee, has business relationships with donald bush and tom schiller, trustees. Form 990, part vi, line 4 effective july 1, 2014, the organization officially changed its name from college of mount st. Joseph to mount st. Joseph university. As a result, amendments were made to the organization's articles of incorporation, delegation agreement between the organization and the sisters of charity of cincinnati, and the code of regulations. The revised documents were approved by the college of mount st. Joseph board of trustees by formal resolution on april 28, 2014 and the sisters of charity of cincinnati by formal resolution on june 11, 2014. An amended certificate of authority was filed with the secretary of state, state of kentucky, on june 19, 2014. A certificate of amendment and amended articles of incorporation were filed with the secretary of state, state of ohio, on july 1, 2014. In addition to the organization name change, the code of regulations was revised to reflect synergy between the document and the sponsorship manual of the sisters of charity of cincinnati, including but not limited to, a clarification of specific responsibilities of the organization's board of trustees. Msju notified the irs of the name change prior to filing this form 990.”
