“Brite divinity schools bylaws state the following with regard to the governing bodys delegation of broad authority to the schools executive committee: the corporation shall have an executive committee consisting of the chair of the board, the vice-chair of the board and the secretary of the board; and at least two other voting members appointed by the board of trustees, all of whom must be voting members of the board of trustees. The chair of the board shall act as chair of the executive committee. In the absence or upon the disability of the chair of the board, the vice-chair of the board shall act as chair of the executive committee, unless otherwise determined by the chair of the board or by the executive committee. The executive committee shall have and may exercise, when the board of trustees is not in session, all of the authority and powers of the board of trustees in the business and affairs of the corporation, even though such authority and powers may be herein provided or directed to be exercised by a designated officer of the corporation; provided, however, that the foregoing shall not be construed as authorizing action by the executive committee with respect to any action required or specified by statue, the restated articles of incorporation or these bylaws to be taken by the board of trustees, as such. The designation of the executive committee and the delegation thereto of authority shall not operate to relieve the board of trustees or any trustee of any responsibility imposed by law. Unless sooner discharged by affirmative vote of a majority of the number of trustees present at any meeting of the board of trustees at which a quorum is present, each member of the executive commitee shall hold office until such member's successor is chosen and qualified, or until such member's earlier death, resignation, retirement, disqualification or removal from office; provided, however, that no person serving as an ex officio voting member of the executive committee shall be removed therefrom as long as such person holds the office entitling such person to serve as a voting member of the executive committee under these bylaws. All actions taken by the executive committee shall be reported to the full board of trustees at the next meeting of the board of trustees.”

“Brite has a conflict of interest policy which is reviewed and revised annually to comply with current regulations. This policy notes relationships and transactions that may give rise to a conflict of interest or the appearance thereof. It describes the means for notifying the school's administration or board of trustees of known potential conflicts, which is done in writing on an annual basis. These written notifications, along with any other potential conflicts that arise, are reviewed by management, and adjustments are made to committee assignments as needed. Additionally, voting privileges are discussed with trustees, as necessary, to comply with the policy and avoid any appearance of conflict. When a conflict or potential conflict exists, the affected person shall abstain from voting or acting upon the pertinent item, withdraw from the meeting, and abstain from participating in or informally influencing the decision-making process except to provide factual information upon request.”
“The process for the president's annual compensation adjustment is the following: 1) an assessment form is completed annually by each trustee rating the president's performance in several key areas. The results are tabulated and shared with the president; 2) the president provides his assessment in achieving his annual goals; 3) the first two processes are conducted separately from the presidents compensation review. The executive committee has this information along with compensation information for the chief executive officer's peer institutions when it meets to discuss the presidents compensation adjustment; 4) the data/information from points 1-3 are considered when the executive committee meets annually to decide upon and approve the president's compensation adjustment.”

“Brite's financial statement footnotes state the following with regard to the liability for uncertain tax positions under asc 740: the school is a tax-exempt institution under section 501(a) of the internal revenue code of 1986 ("irc"), as an organization described in section 501(c)(3) of the irc. The school has concluded that it does not have any unrecognized tax benefits resulting from current or prior period tax positions. Accordingly, no additional disclosures have been made on the financial statements regarding uncertain tax positions. The school does not have any outstanding interest or penalties, and none have been recorded in the statement of activities for the years ended may 31,2017 and 2016.”
