“Africare restated and amended its articles of incorporation and bylaws in march of 2017. Below is a summary of the significant changes: articles of incorporation: - mandate indemnification protection for directors and officers - mandate protection against personal liability for directors and officers - make it clear that africare is not an organization with statutory "members" which must vest such members with the authority to elect or remove directors bylaws: - limit the number of directors on the board to no more than 21. - stagger the terms of board members, calling for the election or re-election of approximately one-third of the board each year. - simplify the rules and procedures for the conduct of any annual, regular or special meeting of the board - require a two-thirds vote of the board to remove any director - permit future amendment of the articles of incorporation or the bylaws only upon a two-thirds vote of the board - authorize a dissolution of africare only upon a seventy-five per cent vote of the board”

“The form 990 was prepared by the outside accountants and reviewed by senior management. Prior to filing with the irs, the form 990 was provided to the full board for their review, comments and questions.”

“Management reviews responses to the conflict of interest attestation by each employee and board member to ensure that there are no perceived or real conflicts. In addition, business relationships are reviewed during the procurement process. Africare requires full disclosure of the facts and circumstances of any perceived or actual conflict of interest and requires that the individual involved not be a part of any decision about the arrangement or transaction. Depending upon the nature and extent of the conflict of interest, senior management or the board may require that the relationship be discontinued.”

The deliberation and decision is documented in the board minutes. The last compensation review for the president took place in october 2015. Compensation of other key staff at the senior management level is done by the president. In addition, independent surveys are conducted periodically to ensure that compensations levels for all staff are competitive. The last compensation review for the cfo took place in october 2015.”
