“The executive committee consisting of the chair, vice chair, secretary, treasurer, and active members conducts business between intervals to be ratified at the next scheduled meeting.”

“The bylaws were amended 1/18/17 to be more explicit about authority and duties of the executive committee, described as follows. Now, the executive committee is composed of 10 active members - four representatives from each of the two largest active member companies and two representatives from the third largest active member company. From these representatives, the executive committee shall nominate the officers of the board of directors, which shall include the chair, vice chair and the secretary/treasurer. Duties: general supervision over the activities and affairs of the association, serve as the governance body of the association, serve as the officers of the association, oversee funds and property of the association, establish policy priorities for ccta, adopt an annual budget, employ an executive officer who shall manage and direct all day-to-day operational activities of the association. Now, the board of directors may consist of up to 51 total members: 25 associate board members and 26 active board members, eight from each of the largest active member companies which shall include the members of the executive committee, and two from the smaller active members companies. Duties: ratify all actions taken by the executive committee related to administrative governance and budget of the association, suspend or revoke membership of any member, approve the appointments made by the chair, elect applicants into membership in the association, investigate infractions of bylaws, require attendance at meetings to be approved persons only, and delegate management of activities of the association. Also included was a policy on the use of reserve funding to provide that it requires a unanimous vote of the executive committee.”

“The membership of the association consists of active and associate members. To qualify as an active member, a corporation or entity must be actively engaged in the operation of the cable system in the state of california. Associate members are engaged in either the manufacture or distribution of equipment or material used in cable systems or provides a service to participants in the cable industry.”

“Active members have the right to vote and have their representatives hold office.”

“The board has approval over ccta's operations, specifically the budget.”

“The 990 will be provided by email to the board of directors before filing with the irs for any questions.”

“The executive committee reviews conflicts of interest and determines if one exists. Forms will be sent out each year to all board members to acknowledge and sign. All employees and officers are currently covered by this policy.”

“The process for determining compensation for all employees includes the review and approval by the governing body. Compensation comparisons are performed with other cable and telecommunications associations for the ceo's salary. This process was last undertaken in 2017.”

“The organization's governing documents, conflict of interest policy and financial statements are available to public upon request.”

“The process for oversight of the consolidated financial statement audit and the selection of an independent accountant has not changed from the prior year.”
