Form 990, Page 6, Part VI, Line 12C

Board members and officers are required to read and provide a signed statement of their understanding of the organization's conflict of interest policy at least annually. If a potential conflict of interest occurs, it is reviewed and resolved by the board of directors. At any time that the organization is preparing to take a vote in which a voting member (board member) has a conflict of interest, that conflict is revealed. The president determines whether there is a conflict. As a practical matter, the action is always that the board member is allowed to discuss the organization for which funds are being considered but is prohibited from voting yes or no on the grant being considered. Conflicts include membership on the board of the organization under consideration or employment of the board member or spouse of the board member. Thus, law school dean avi soifer never votes on any organization that receives money from the organization for law school projects.

It is the responsibility of the board of directors to determine the compensation for all officers and directors. Only the executive director is currently being compensated. The method for establishing compensation consists of accumulating and analyzing comparable compensation for similar positions as well as financial considerations.

The bretzlaff foundation endowment is intended to serve the needs of under-privileged youth-at-risk in hawaii. The justice fund endowment is intended to support projects, programs, and activities that enhance the delivery of legal and law-related services to hawaii's low and moderate-income citizens; improve the administration of justice in hawaii; develop the community's conflict resolution capacities and accomplish needed systemic changes; strengthen the public's understanding of critical legal and law-related matters; and provide justice-related assistance for hawaii's most vulnerable populations: families, children, youth at risk, the frail and the elderly, the severly disabled, and others who are unable to secure justice by themselves.
