Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed by the president and secretary of our board, as well as senior staff. First, our business director, who keeps the books, gives an initial review of the 990 against our financial data. Then, the report is presented to the president and secretary of the board for review.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy was adopted dec 3, 2014. It is to be distributed to all new board members at the time they join the board; no new members have joined the board since the policy was adopted. The audit committee is responsible for ensuring compliance; they meet annually and review compliance with the conflict of interest policy.

Form 990, Part VI, Section B, Line 15B

As of january 1, 2018, the annual salary for each of the three compensated officers was raised to the new state minimum for overtime exempt status. This decision was reviewed by the board.

Form 990, Part VI, Section C, Line 19

Form 990 and annual financial statements are available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The organization, as determined by the internal revenue service, was granted tax exempt status under section 501(c)(3) of the internal revenue code and under the corresponding provisions of the new york state tax laws; it is not classified as a private foundation. The organization follows the accounting standard for uncertainty in income taxes. The standard prescribes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required to meet before being recognized in the financial statements. It also provides guidance for derecognition, classification, interest and penalties, disclosure, and transition. The organization classifies any interest and penalties on underpayment of income tax as miscellaneous expenses. The organization may be subject to audit by tax authorities. The organization believes that it has appropriate support for the position taken on its tax returns. Nonetheless, should such an audit occur, the amounts ultimately paid, if any, upon resolution of the issues raised by the taxing authorities could differ materially from the amounts filed. Management believes that its nonprofit status would be sustained upon examination. The organization files federal and new york state informational returns. The organization is generally no longer subject to tax examinations by the internal revenue service or new york state for returns filed before fiscal year 2017.
