Governance Explanations

Form 990, Part VI, Section A, Line 2

Andy baker, brian langstraat, and clay nielsen have a business relationship.

Form 990, Part VI, Section B, Line 11B

The public disclosure copy of the form 990 is reviewed by the finance committee which requests approval by the board of trustees. The board of trustees receives a copy of the public disclosure copy of the form 990 for review prior to approving the filing of form 990 with the irs. Because schedule b contains sensitive information about donations made by donors who wish to remain anonymous, as well as donations from trustees, our finance committee and board have elected to withhold this schedule during the review of the form 990.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policies are signed annually by the board members. The executive committee of the board of trustees reviews the questionnaires received from the board members on an annual basis. Any unreconciled conflicts are handled by the president of the board of trustees. In the event a conflict occurs, the board member involved must abstain from participating and voting on the matter in question.

Form 990, Part VI, Section B, Line 15

Compensation levels for key employees are determined by a review of industry compensation data from annual surveys conducted by the national association of independent schools, the northwest association of independent schools and the national business officer's association. The head of school's compensation is reviewed when the contract is renewed. The head of school's employment contract extends through july 2017. It establishes annual compensation increases. The compensation for other key officials is evaluated annually when the board finalizes the budget for the upcoming school year. Compensation was last reviewed may 2017.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon request.
