Governance Explanations

Form 990, Part VI, Section A, Line 1A

The by-laws of the organization set forth the governing body of the pennsylvania ffa as a board of directors consisting of eleven voting members: eight regional teacher representatives plus three state ffa officers (the state president, vice-president and immediate past president). The by-laws also specify twelve ex-officio members of the board of directors: one member of the pennsylvania ffa foundation, a representative of the pennsylvania association of agriculture educators, a representative of the agricultural teacher education, a state alumni representative, and in addition there are eight ex-officio members who do not have a voting capacity, the state advisor, the pennsylvania ffa executive manager, the adult treasurer, a ffa facilitator (ctso) member and four regional coordinators. In all, the board is comprised of these 23 individuals. As of the current year filing, the position of adult treasurer remains vacant. Lastly, the remaining four state ffa officers often participate at the board level and have been included in the board listing.

A member of the board of directors and employee of the association are related: mike brammer, executive manager/secretary is father to sherisa nailor. For the year ended may 31, 2023, sherisa nailor served as paae rep. This is a non-voting position on the board of directors which still includes responsibilities of oversight of the association and respective employees.

Form 990, Part VI, Section A, Line 6

Membership in this association includes active, alumni, collegiate, and honorary. To be eligible for active membership in a chartered ffa chapter, a student must be enrolled in a secondary agricultural education program while in grades seven trough twelve, and follow the criteria defined by the association to maintain active membership. Alumni membership is open to former active, collegiate, or honorary ffa members, present and former professional agricultural educators, parents of members, and others interested in supporting the ffa. Collegiate membership is for those enrolled in an agricultural education program or majoring in some field of agriculture. One must also be attending a college or university that has an active collegiate ffa chapter. Honorary membership is open to farmers, producers, and/or business personnel, school administrators, principals, and members of boards of education. Chapter advisors, teachers, staff members in agricultural education, and other individuals who have rendered outstanding service, may be selected to honorary membership and upon recommendation by the state association shall hold the honorary keystone degree.

The governing documents and financial statements are available upon request. Financial statements and reporting, other method of accounting: the accounting method used to prepare the form 990 is the modified cash basis of accounting. The association prepares its financial statements in accordance with cash receipts and disbursements, modified for certain accruals when applicable; consequently, certain revenue and related assets are recognized when received rather than when earned, and certain expenses are recognized when paid rather than when the obligations are incurred. Modifications to the modified cash basis of accounting include recognition of ppp debt and liabilities for registrations of cancelled conferences. This modified cash basis of accounting is a basis of accounting other than accounting principles generally accepted in the united states of america.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has determined that the association is exempt from federal income tax under section 501(c)(3) of the internal revenue code, and is exempt from income taxes on related activities pursuant to section 509(a) of the code. In addition, the association is organized under the pennsylvania nonprofit corporation law and is exempt from state income taxes. Management may assess the association's exposure to income taxes at the entity-level as a result of uncertain tax positions taken in current and previously filed tax returns. Examples of tax positions taken at the entity level include the continuing validity of the association's exempt status, potential filing requirement for unrelated business income, and other tax positions that could result in the assessment of income tax liabilities to the association upon examination by taxing authorities. Any tax benefits associated with uncertain tax positions that are in excess of a realization threshold may be recorded as a liability for unrecognized tax benefits in the financial statements, along with any associated interest and penalties. Presently, management believes that it is more likely than not that the association's tax positions will be sustained upon examination, including any appeals and litigation; consequently, management believes that the association has no exposure to income-tax liabilities from uncertain tax positions.

LEAD BY THE STATE OFFICERS, THE STUDENTS GO THROUGH WORKSHOPS ON PROFESSIONALISM, PROPER DRESS, ETIQUETTE, AND HOW TO READ A LEGISLATIVE BILL. THEY ARE THEN PUT THROUGH A COMPLETE MOCK VERSION OF OUR LEGISLATURE. THE HOUSE, SENATE, CAUCUSES, MINORITY AND MAJORITY, AND COMMITTEES. THEY DEBATE 6 BILLS THAT ARE CURRENTLY BEING DEBATED IN THE LEGISLATURE OF PENNSYLVANIA. THIS IS TO TEACH HOW OUR GOVERNMENT PROCESS ACTUALLY WORKS. MONDAY EVENING COMMUNITY SERVICE IS PERFORMED. THE CONFERENCE CONCLUDES TUESDAY MORNING WITH A LEGISLATIVE BREAKFAST WHERE WE HAVE APPROXIMATELY 75 TO 80 LEGISLATORS ATTEND. LEGISLATORS ARE SEATED WITH STUDENTS FROM THEIR DISTRICTS SO THEY CAN DISCUSS THE BILLS JUST USED IN OUR CONFERENCE AND TO GET TO KNOW ONE ANOTHER. THE STUDENTS WALK AWAY WITH A GREATER UNDERSTANDING OF OUR GOVERNMENT PROCESS. TEACHERS ALSO ATTEND WORKSHOPS FOR ACT 48 CONTINUING EDUCATION CREDITS THROUGH PENN STATE.

THEY SERVE AS PENNSYLVANIA'S FFA DELEGATES ON THE NATIONAL FFA LEVEL AS WELL. THESE STUDENTS ARE NOT PAID. THEY DONATE THEIR TIME FOR THE EDUCATIONAL EXPERIENCE AND TO GIVE BACK WHAT THEY HAVE RECEIVED FROM THE PROGRAM. THEY ARE REIMBURSED FOR THEIR EXPENSES INCURRED DURING THE YEAR: MILEAGE (REIMBURSED AT THE STANDARD IRS MILEAGE RATE), MEALS (WHILE TRAVELING FOR FFA), LODGING WHEN NECESSARY, SUPPLIES TO PERFORM DUTIES, ETC.
