To positively impact the local community through thrift store operations by selling top-quality, gently-used merchandise, and donating the net proceeds to support local charities.

Operate high-quality thrift stores to: financially support locally based charities helping families and children in need; create meaningful employment and volunteer opportunities; empower people to help others by donating; and to promote good stewardship of the environment by reusing, reselling or recycling unwanted goods.

James jones was appointed manager duties as acting ceo of impact thrift stores on may 19, 2017. Prior to his appointment, james jones held the position of cfo and treasurer of impact thrift stores until terminated on january 13, 2017. A management agreement was entered into between impact thrift stores and heavens treasures thrift and value stores, llc, a delaware for-profit cororation, in may of 2017. Heavens treasures thrift and value stores, llc is wholly-owned and managed by james jones. In his capacity as manager and acting ceo, james jones excercised general supervisory responsibility and management authority over impact thrift stores. Impact's then-current ceo, gray wirth, terminated his employment with impact on may 19, 2017. The term of this agreemnt was for a period commencing on may 15, 2017 and continued through the closing of the asset sale of impact thrift stores to heavens treasures thrift and value stores, llc. The manager's compensation was 2,500 per week, payable to heavens treasures.

Financially support local charities helping families and children in need through the net proceeds generated by our thrift store operations. Our financial support of these local non-profits enables their staff to spend more time doing what they do best - feeding the hungry, housing the homeless, and supporting children and families in need. Impact thrift repurposes donations of gently used merchandise by selling items that are no longer needed to those who put them back in service. Because more than 90% of the inventory in our stores is from donated merchandise, our success depends on a community effort. Together we make a difference. We make an impact as a faith-based, non-profit organization, we: -- seek to honor god and value people in all we do. -- financially support locally based charities providing hunger and homelessness prevention; early childhood, adolescent and adult education; family dental care; and foster care and adoption services. -- provide access to low-cost, high-quality merchandise. -- create meaningful employment and volunteer opportunities. -- empower people to support others in need through their donations. -- promote good stewardship of the environment by reusing, reselling or recycling goods that may otherwise end up in landfills. -- offer all individuals a first class shopping experience.

IN JANUARY 2017, JONES JONES TERMINATED HIS EMPLOYMENT WITH IMPACT THRIFT STORES. AT THE TIME, HE HELD THE TITLE OF CFO AND TREASURER. IN MAY 2017, IMPACT ENTERED INTO A MANAGEMENT AGREEMENT WITH HT, WHICH APPOINTED JAMES JONES AS ACTING CEO OF IMPACT THRIFT FOR THE PERIOD FROM MAY 2017 THRU CLOSING. HT WAS PAID A TOTAL OF 15,000. SALE OF ASSETS AND BUSINESSES (HATBORO AND BRISTOL STORES): FEB 2017 FIXED ASSETS (BOOK VALUE) 155,143 DONATED INVENTORY (FMV) 187,779 TOTAL VALUE 342,922 LESS: SALE PRICE 40,000 LOSS ON SALE OF ASSETS 302,922 THE FIXED ASSETS, BUSINESSES, AND DONATED INVENTORY WERE SOLD TO HT. THE LOSS ON THE SALE OF FIXED ASSETS AND DONATED INVENTORY WERE 137,046 AND 165,876, RESPECTIVELY. THE LOSS ON THE DONATED INVENTORY OF 165,876 WAS REFLECTED IN FORM 990-T UNDER COST OF GOODS SOLD. THE FMV OF THE BUSINESSES, FIXED ASSETS, AND INVENTORY WERE DETERMINATED BY IMPACT'S BOARD OF DIRECTORS AND OFFICERS. THE ASSETS WERE SOLD AT A SIGNIFICANT BOOK LOSS, AS THE STORES WERE LOSING MONEY CONSISTENTLY, THE FIXED ASSETS HAD LITTLE ECONOMIC VALUE, AND THE INVENTORY WOULD HAVE SOLD AT PENNIES ON THE DOLLAR IF LIQUIDATED. ALSO, THE COST TO THE ORGANIZATION OF TERMINATING THE BRISTOL LEASE AND HAVING AN UNOCCUPIED STORE (HATBORO), PLUS THE COST OF CLEANING OUT THE STORES AND PAYING UNEMPLOYMENT, WOULD HAVE BEEN EXORBITANT. TENANT RENTAL INCOME: HT ENTERED INTO A TRIPLE NET LEASE WITH IMPACT THRIFT IN FEBRUARY 2017 FOR 6000/MONTH. THE RENTAL PAYMENTS TOTALED 33,468 FOR THE PERIOD FROM FEBRUARY 2017 THRU CLOSING. BASED ON AN APPRAISAL OF FMV OF RENTAL RATES IN THE AREA, THE RENT PAID BY HT MAY HAVE BEEN BELOW MARKET RATES. CLOSING: ON JUNE 27, 2017, HT PURCHASED THE REMAINING BUSINESS OF IMPACT THRIFT STORES. UNDER THE AGREEMENT, HT PURCHASED REAL ESTATE, FIXED ASSETS, AND OTHER ASSETS, BUT ALSO ASSUMED IMPACT'S LIABILITIES. THESE CLOSING TRANSACTIONS WERE APPROVED BY THE PENNSYLVANIA ORPHAN'S COURT ON 6/12/17. HT PURCHASED THE HATBORO STORE FOR 1,200,000 ON JUNE 27, 2017. THE APPRAISED VALUE, BASED ON AN APPRAISAL ISSUED BY AN ACCREDITED APPRAISER, WAS 1,200,0000. THE COST (PLUS EXPENSE OF SALE) WAS 1,374,044 AND THE ACCUMULATED DEPRECIATION WAS 352,214, NETTING TO AN ADJUSTED BASIS OF 1,021,830. THIS RESULTED IN A GAIN ON SALE OF 178,170. SINCE THE BUILDING AND LAND WERE ACQUIRED IN DECEMBER 2001, ITS USE WAS PRIMARILY FOR CHARITABLE PURPOSES (THRIFT STORE OPERATIONS) UNTIL FEBRUARY 2017. THE BUILDING AND LAND WERE LEASED TO HT FROM FEBRUARY 2017 UNTIL JUNE 26, 2017. HT PURCHASED THE REMAINING ASSETS AND LIABILITIES OF IMPACT AS FOLLOWS: ASSETS 327,332 (FMV) INVENTORY 1,026,765 (FMV) FIXED ASSETS - BOOK VALUE 1,249,452 (FMV 1,390,577; GAIN 141,125) LIABILITIES ASSUMED 2,744,674 (PURCHASE PRICE) LOAN FROM A BOARD MEMBER: THOMAS TILLETT, CHAIRMAN OF THE BOARD FOR IMPACT, LOANED 25,000 TO IMPACT THRIFT STORES. IMPACT REPAID 15,000 PLUS INTEREST OF 242 BEFORE YEAR END.
