Additionally, such other entities may be admitted as a member from time to time in accordance with the bylaws of the corporation. To become a member, the eligible corporation must apply to the corporation and such application must be accepted by the board. Each member shall provide to the secretary/treasurer of the corporation the name of the individual authorized to bind the member herunder, through its board of directors, has so authorized said individual to act in that capacity. The board shall take such action, which is necessary in light of the facts revealed by the disclosure, to avoid a conflict of interest or impropriety with regard to a project. The disclosure statement of the covered person, and the action by the board, shall be made a part of the minutes at its next regular, or special, meeting.”
