Supplemental Narrative

Additional Explanations

Form 990, Part XI, line 9:

Transfer to Exceptional Care for Children Inc. EIN 80-0748765 in FY 2015 -10,316,943.

Form 990, Part XI, Line 9, Changes in Net Assets:

Exceptional Care for Children, Inc. was formed as a separate Delaware nonprofit corporation in 2010 for the purpose of receiving 100% of the activities of Exceptional Care, Inc. upon the approval of its nonprofit status. The purpose of transferring 100% of the activities to Exceptional Care for Children, Inc. will allow the organization to move the jurisdiction of the organization from Pennsylvania to Delaware, which is the jurisdiction of its operations. Upon the completion of the transfer, Exceptional Care, Inc. will cease its existence, leaving Exceptional Care for Children, Inc. as the surviving organization. On June 30, 2015, Exceptional Care, Inc. transferred assets totaling $3,493,321 to Exceptional Care for Children, Inc. During fiscal year 2016, with the exception of assets totaling $50,053 as of June 30, 2016, the remainder of Exceptional Care, Inc.'s assets, liabilities, and activities were transferred to Exceptional Care for Children, Inc. As a result, Exceptional Care, Inc. had both control and an economic interest in Exceptional Care for Children, Inc. as of June 30, 2016 and 2015. In accordance with Financial Accounting Standards Board Accounting Standards Codification (FASB ASC) 958, Exceptional Care, Inc. has presented consolidated financial statements as of and for the year ended June 30, 2016 and 2015. All fiscal year 2016 activity from operations were incurred by Exceptional Care for Children, Inc., and therefore were reported on Exceptional Care for Children, Inc's 2015 Form 990. However, the W-2s issued during 2015 were still under the name of Exceptional Care, Inc. This explains why a number of employees is reported on Part V, Line 2a, but no salary expense is reported on the statement of functional expenses. All expenses are reported on the Exceptional Care for Children, Inc's 2015 Form 990.

Financial Statement Notes

Part X, Line 2:

The Organization is exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. In addition, the Organization qualifies for the charitable contribution deduction under Section 170(b)(1)(A) and has been classified as an organization other than a private foundation under Section 509(a)(2). The federal information returns of the Organization for the years ended June 30, 2013, 2014, and 2015 are subject to examination by the tax authorities, generally for three years after they were filed.
