Mission

University city district is a partnership of world-renowned anchor institutions, small businesses and residents that creates opportunity, improves economic vitality and quality of life in the university city area of west philadelphia. Our primary mission is community revitalization. We work within a place-based, data-driven framework to invest in world-class public spaces, address crime and public safety, bring life to commercial corridors, connect low-income residents to careers, and promote job growth and innovation.

Governance Explanations

Form 990, Part VI, Section A, Line 2

Maureen rush, a vice-president at the university of pennsylvania, reports to craig carnaroli, the executive vice-president at the university of pennsylvania. The board's shared collaborative nature has provided the foundation for ucd's creation. This same shared vision for collaboration and innovation has allowed the board members to partner with each other in the areas of education, research, health care and development.

Form 990, Part VI, Section B, Line 11

The auditor submits a draft 990 to the executive director and treasurer for review. They will, in turn, provide a copy to the executive/finance committee for their review. Questions and comments from their review will be forwarded to the treasurer. The treasurer will convey these questions and comments to the auditors. The treasurer will report back to the executive/finance committee with the auditor's comments. At that time the executive/finance committee will either approve the draft or contact the auditor with additional comments. After the executive/finance committee approves the draft 990, the board will be notified by email that the draft has been reviewed by the executive/finance committee and has been accepted by them and a copy of the draft 990 will be attached.

Board members are reminded to report the potential of a conflict of interest at board meetings, at which time it would be discussed among the board. Should a conflict be declared, the conflicted member would recuse himself or herself in accordance with the corporate policy.

Form 990, Part VI, Section B, Line 15A

A compensation committee of the board of directors of the university city district reviews the performance of the executive director, and sets compensation. The committee consists of the board chairman, vice chairman and treasurer. Compensation is benchmarked through the international downtown association's compensation survey. The executive director is the only employee subject to this review process. The last time this process was conducted was in june 2014.

The term endowment is to be used to benefit clark park. The quasi-endowment was established by the board as a reserve for the furtherance of the organization's mission.

PART X, LINE 2:

Management of the district considers the likelihood of changes by taxing authorities in its filed income tax returns and recognizes a liability for or discloses potential significant changes that management believes are more likely than not to occur upon examination by tax authorities, including changes to the district's status as a not-for-profit entity. Management believes the district met the requirements to maintain its tax-exempt status and has not identified any uncertain tax positions subject to the unrelated business income tax that require recognition or disclosure in the accompanying financial statements. The district's income tax returns for the past three years are subject to examination by tax authorities, and may change upon examination.
