“The chief financial officer has organization and management authority, but is a contracted individual working via a private consulting firm.”

“Form 990 is reviewed first with the audit committee and then the executive committee. Following these steps, it is made electronically available to the board of directors for its review. The board is given a 15-day question/comment period prior to filing the 990.”

“All board members and employees are required to annually sign a statement that discloses any actual or potential conflicts of interest. All statements are provided to the audit committee chairperson and board co-chairpersons. If these parties determine that a conflict of interest exists, they shall refer the matter to the executive committee for ultimate action. Furthermore, this process is followed whenever potential conflicts of interest arise during the year. A director or employee who is deemed to have a conflict of interest shall be disqualified from participating in the portion of any meeting of the board of directors or committees of the board that are intended to review and act upon the proposed contract or transaction. As such, he/she shall not vote, nor be present at the time of the vote, on such contracts or transactions.”

“The president/ceo's salary is reviewed annually by the personnel committee who then communicates its compensation recommendations to the executive committee for its action on that recommendation. One resource the personnel committee utilizes to review and set the president/ceo's salary is data from guidestar's "compensation report". The foundation views the vice president and coo as a "key employee" position whose compensation is reviewed by the personnel committee, as described in the following paragraph. The foundation's compensation committee also reviews compensation for all staff. With regard to compensation for any key employee position that is not the president and ceo, the committee will carefully review the position's compensation in order to ensure that it is commensurate with the position's importance and responsiblities.”
