Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended on 8/13/14. The amendments included changing the title of executive director to chief executive officer and adding additional wording for committees of the board.

Form 990, Part VI, Section B, Line 11

The board of directors is provided the form 990 for review prior to submission.

Form 990, Part VI, Section B, Line 12C

All employees and members of the board sign a conflict of interest policy. The policy requires disclosure of interests that could cause conflicts at any and all times.

Form 990, Part VI, Section B, Line 15

The board of directors has a policy approved for evaluating the chief executive officer. It includes a review of the accomplishments of the ceo based on the approved goals and objectives set the prior year, approval of the goals and objectives for the upcoming/current year, and a recommendation for a salary increase if the ceo has had satisfactory performance. This process is first done by the executive/personnel committee of the board of directors and then its recommendation is presented to the full board of directors for discussion, review, and approval.

Form 990, Part VI, Section C, Line 18

The forms are available upon request.

Form 990, Part VI, Section C, Line 19

Documents are not made public, per se, but this information is shared with funders. Requests for this information by individuals and other organizations are considered by the board of directors.

Financial Statement Notes

PART X, LINE 2:

In accordance with generally accepted accounting principles, the organization accounts for uncertain tax positions relative to unrelated business income, if any, as required. Using that guidance, management has determined that there are no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. The tax returns for the years 2010 and forward remain open for examination by the applicable taxing authorities.
