Tft has an executive committee that can exercise the authority of the board between board meetings. The executive committee is comprised of the chair, co-chair, treasurer and secretary of the board. The authority of the executive committee does not include the following: (a) elect, appoint, approve or remove board members (b) change the number of required board members (c) establish committees

Form 990, Part VI, Section B, Line 12C

The board of directors, staff and volunteers are covered under the organization's conflict of interest policy. The board of directors determines whether a conflict exists and the reviews the conflicts. The disinterested members of the board of directors may approve the proposed action or transaction upon finding that it is in the best interests of the corporation. The board shall consider whether the terms of the proposed transactions are fair and reasonable to the organization and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with a party orientated that is not an interested party. On an ongoing basis, it is the expectation set forth in the conflict of interest policy that all board members proactively disclose any potential conflicts that come about, which would be subject to board review.

The compensation for the president/ceo is reviewed on an ongoing basis by the compensation committee, which is comprised of the executive committee as well as the chair of the strategic planning committee. The committee relies on the recent study for comparability data conducted by a compensation consultant in combination with the self-review report submitted by the president/ceo to the committee. The deliberation and final decision are timely documented as part of the board and committee minutes. The process described here was last completed in 2023.

THROUGH COLLABORATIONS WITH A VARIETY OF CROSS-SECTOR PARTNERS, THE CAMPAIGN IS WORKING TO STRENGTHEN FEDERAL NUTRITION PROGRAMS, SUCH AS SNAP, SNAP-ED AND HFFI. THE CAMPAIGN HAS WORKED AT THE LOCAL, STATE AND FEDERAL LEVEL ON HFFI, IN AN EFFORT TO ENCOURAGE HEALTHY FOOD RETAIL DEVELOPMENT AND EXPANSION IN COMMUNITIES ACROSS THE COUNTRY. THE NATIONAL CAMPAIGN HOSTS THE ANNUAL HEALTHY FOOD ACCESS CONVENING IN WASHINGTON TO FACILITATE A COMMUNITY OF PRACTICE AMONG ORGANIZATIONS WITH SIMILAR GOALS.BY CONVENING THE SNAP-ED STRATEGY GROUP, THE CAMPAIGN WORKED TO SUPPORT THE SNAP-ED PROGRAM AT THE FEDERAL LEVEL DURING THE RECENT PASSAGE OF THE FARM BILL. THE CAMPAIGN IS WORKING WITH BUSINESSES TO FOCUS MARKETING EFFORTS ON HEALTHIER CHOICES AND IS EXPANDING SNAP-INCENTIVE PROGRAMS THAT PROVIDE SUPPORT TO MAKE HEALTHIER FOOD MORE AFFORDABLE FOR THOSE ON FOOD STAMPS. BASED ON THE SUCCESS OF THE FOOD BUCKS COUPON PROGRAM, TFT CONTINUED EXPANDING ITS HEALTHY FOOD INCENTIVE WORK ACROSS PENNSYLVANIA AND CAMDEN, NEW JERSEY, TO MAKE HEALTHY FOOD MORE AFFORDABLE FOR PEOPLE USING SNAP BENEFITS. THE INITIATIVE HAS SINCE GROWN: THE FOOD TRUST WORKS IN PARTNERSHIP WITH LOCAL PUBLIC HEALTH DEPARTMENTS, COMMERCE DEPARTMENTS, COMMUNITY AND ECONOMIC DEVELOPMENT DEPARTMENTS, HEALTHCARE PARTNERS, AND COMMUNITY-BASED PARTNERS AND RESIDENTS TO DEVELOP HEALTHY CORNER STORE NETWORKS IN BOTH RURAL AND URBAN COMMUNITIES. FOOD TRUST STAFF CURRENTLY LEAD DIRECT PROGRAMMING IN OVER 1,000 GROCERY STORES ACROSS SIX STATES.
