Mercy center nursing unit, inc., a long term care facility, sponsored by the sisters of mercy of the mid-atlantic community, is committed to the care of the elderly in personal care and skilled nursing settings. Grounded in the core values of the sisters of mercy and the healing ministry of jesus, mercy center provides quality care within an environment characterized by: human dignity, sacredness of life, excellence, compassion, and mercy hospitality.

Governance Explanations

Form 990, Part VI, Section A, line 6

Mercy Center Nursing Unit, Inc. ("MCNU") is sponsored by and follows the philosophy of the Sisters of Mercy of the Americas Mid-Atlantic Community. Members of MCNU shall be the President and the leadership team of the Sisters of Mercy of the Americas Mid-Atlantic Community, Inc.

Form 990, Part VI, Section A, line 7A

The members of MCNU may initiate and implement any proposal with respect to any of the following, and, if any proposal with respect to any of the following is otherwise initiated, it shall not become effective unless approved by the Members: 1. Adopt or approve a change in the mission, purpose, philosophy of MCNU or a change to the general structure of MCNU as a voluntary nonprofit corporation for the care of the sick and the elderly; 2. Amend the Bylaws of MCNU; 3. Amend the Articles of Incorporation of MCNU; 4. Appoint and/or remove with or without cause the Administrator of MCNU; 5. Approve the election and/or remove with or without cause the Trustees of MCNU; 6. Approve the election and/or remove with or without cause the Officers of MCNU; 7. Enter into any sale, lease, mortgage, encumbrance or subordination of interest in the assets of MCNU; 8. Merge, consolidate, dissolve or otherwise change the corporate structure of MCNU; 9. Approve any deficit budget; 10. Dispose of all or substantially all of the assets of MCNU; 11. Effect any transfer or encumbrance of property which requires approval pursuant to Canon Law; 12. Approve the acceptance of major gifts in excess of $500,000 and of buildings and/or land to MCNU; 13. Approve, amend, alter or replace pension plans, documents, and/or such other plans or documents which in any way bind MCNU; 14. Approve all capital or major fund raising campaigns; 15. Distribute the assets of MCNU upon the dissolution of same to the Sisters of Mercy of the Americas Mid-Atlantic Community, Inc., a 501(c)(3) corporation as defined in the Internal Revenue Code of 1986 as amended as well as being a not-for-profit religious charitable corporation of the State of Missouri, its successors and/or assigns; 16. Establish an annual limit on the amount of debt to be incurred by MCNU approved by the Members.

The facility's Administrator and Director of Finance review the Form 990 prepared by an independent accounting firm. The Finance Committee of the Board of Directors also reviews the return and provides any questions before final approval of the Form 990.

Form 990, Part VI, Section B, line 12C

All Board members and officers of the Organization are required to annually disclose any conflicts of interest via completion of a conflicts form. Those individuals are also required to disclose any and all ongoing issues that arise during the course of the year. Signed conflict of interest statements are given to the Board and reviewed and maintained by the board chairman. Any individual with a conflict of interest must abstain from voting on the matter.

Form 990, Part VI, Section B, line 15

In general, the compensation for the Administrator is determined annually by the Director of Finance based upon annual review of comparative financial indicators and market trends to ensure salaries are within fair market range for the industry. An annual budget which includes the Administrator's salary is reviewed and approved annually by the Finance committee of the Board. Compensation for other management team members is determined annually by the Administrator and is based upon external factors such as comparative financial data, market trends, and cost of living to ensure salaries are within fair market range for the industry. This compensation is incorporated into the annual budgeting process and approved by the Board upon adoption of the budget. Minutes of board and committee meetings are maintained which document board approval.

Certain officers are not directly compensated by Mercy Center Nursing Unit. MCNU pays the SISTERS OF MERCY OF THE AMERICAS MID-ATLANTIC COMMUNITY, INC. on behalf of Sister Sara Sweeney, Administrator, and Sister Antoinette Manley, Assistant Administrator. MCNU paid the Sisters of Mercy $123,000 on behalf of Sister Sara Sweeney and $92,003 on behalf of Sister Antoinette Manley for their roles with MCNU.

Financial Statement Notes

Part IV, Line 2B:

Resident trust fund liability: Should a resident elect to permit the facility to hold, safeguard, and manage his or her personal funds, the facility will deposit such funds in an interest-bearing resident trust fund account which is separate from the facility's banking account. A quarterly accounting of funds managed by the facility will be provided to each resident and/or his or her representative. Should a resident be transferred or discharged from the facility, any funds on deposit in the trust fund will be released and transferred to the resident. Upon the death of a resident with personal funds deposited with the facility, the facility will convey to the resident's designee or estate the resident's funds and a final accounting of such funds. It is the facility's policy to purchase a surety bond to assure the security of all residents' personal funds deposited with the facility.

Part V, Line 4:

The endowment fund consists of funds established for benevolent care based on donor-restriction. During 2015, the center obtained approval from the donor to remove the restriction on the endowment funds and as a result these funds were releaased for operations.

Part X, Line 2:

The center accounts for uncertainty in income taxes by prescribing a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined that there were no tax uncertainties that met the recognition threshold in 2015 and 2014.

IRS990/Desc0Licensed in 1991, this 59 bed skilled nursing unit provides compassionate, loving care to the most frail of our population. Our facility uses a multi-disciplinary approach to health care including: nursing, social services, physical therapy, occupational therapy, speech therapy, pastoral care, nutrition therapy, activities, and respite care. All of these areas work together to ensure the best possible care for our residents. Our 92 bed personal care facility was licensed in 2005. Licensed nursing staff is available to assist with activities of daily living and with medications. Both facilities on average care for 215 residents annually. Mercy Center provides care to significant elderly population in financial need. On average, 65% of our skilled nursing census are residents on Medical Assistance. In addition, 30% of our personal care census are residents receiving the SSI benefit. The SSI residents pay approximately 30% of the published private pay rate.
