“A copy of the form 990 is provided to the board of directors after it has been reviewed by the audit committee. After the board of directors reviews and approves of the 990, the return will be filed.”
“The board is required to complete a conflict of interest disclosure on an annual basis. The disclosures are submitted to the board compliance/privacy officer who will review all statements. The compliance officer will then report to the board any disclosed conflicts. When any such conflict of interest is relevant to a matter requiring action by the board of directors, the interested person shall call it to the attention of the board and that person shall remove themselves from the room while a vote is occuring. The minutes from the meeting in which the conflict occurs will reflect the conflict of interest and any resolution or action to be taken in response to the conflict of interest.”
“In september 2007, the organization commissioned a professional, independent salary study which examined comparability data for all positions and recommended a salary range program based on the data. The board of directors used the study findings to determine the salary of the executive director upon hiring at the end of 2008. The executive director's base salary has not changed since hiring. In 2012, an updated compensation study was commissioned with the intent of determining a salary plan for the executive director and all staff positions, consistent with the study findings. At the end of 2012, the board president and treasurer led the full board of directors in executive session to review the findings and authorize future salary targets as well as consider a year-end performance-based bonus. BOTH EVENTS FEATURED PROMINENT NATIONAL AND LOCAL SPEAKERS WHO INFORMED AND INSPIRED ATTENDEES TO SHARE INFORMATION AND EMPLOY PHILANTHROPIC PRACTICES AIMED AT STRENGTHENING COMMUNITIES.
