Governance Explanations

Form 990, Part VI, Section A, line 2

Mr. Richard m. Devos, sr. And mr. Doug devos - family relationship.

Form 990, Part VI, Section B, line 11

The 990 worksheets are prepared by the senior accountant in conjunction with the preparation of the audited financial statements. The vp of finance reviews the worksheets for accuracy and once all information is correct, the worksheets are sent to the return preparers (an independent national firm) to be processed. A draft of the 990 is sent to the organization, the vp of finance, the coo and the ceo for review and approval. Once internal review and approval is completed, the 990 is sent to the audit committee. The audit committee of the board of trustees reviews the documents and a conference call is scheduled to discuss the 990. The participants include the members of the audit committee, the ceo, the coo, the vp of finance and the return preparers. The audit committee modifies or approves the 990. The chairman of the audit committee sends the draft to the board of trustees with the recommendation from him and the audit committee for approval. The board of trustees has one week to comment. Any comments from the board are considered by the audit committee and staff, after which, if changes are made, the approval process is repeated. If no changes are made or if no comments are received, the 990 is considered approved and is filed with the irs.

Form 990, Part VI, Section B, line 12C

The national constitution center has a conflict of interest policy. A copy of the policy and the questionnaire are given to all new employees and newly elected trustees during their orientation period. Annually, the policy and questionnaire are sent to all trustees, employees and volunteers trustees, employees and volunteers have one month to complete the questionnaire and send the completed forms back to the center. The chief compliance officer (cco) follows up with any employee who failed to submit his/her form. Trustees are also sent reminders; the cco and vp of finance review all questionnaires to determine if any conflicts exist. The results of the annual questionnaire responses are discussed with the audit committee. Significant conflicts, if any, are brought to the committee's attention. The audit chairman makes the determination if the conflict is significant enough to warrant full board review. Significant conflicts are then brought to the board of trustees who determines a course of action based upon the conflict of interest policy.

Form 990, Part VI, Section B, line 15

The ceo of the national constitution center is hired by the board of trustees. Typically, a search committee is formed to conduct the search process. Additionally, a professional executive search firm is also engaged to facilitate the search process. This committee is a temporary sub-committee of the executive committee and includes the chairman of the executive committee, appointed trustees and appropriate staff (ie coo). Once a ceo has been identified, a contract is prepared by the center's general counsel. The search committee, who acts as the center's "independent persons" recommends the ceo's compensation based on the following criteria: comparable data - what was the former ceo's compensation and what are like organizations ceo's compensation. Contemporaneous substantiation - data is collected and documented during this process. The ceo's contract, which includes compensation,is presented to the executive committee by the search committee. In executive session the contract is approved by the executive committee. The executive committee then presents the contract to the full board of trustees for approval. Compensation procedure for top management: the ceo and the coo hire the organization's top management team. The national constitution center hired a consultant to develop a salary administration program which is broken down into position levels with corresponding salary ranges. Compensation is determined by a potential employee's qualifications and referring to the appropriate position level within the salary administration program.

Form 990, Part VI, Section C, line 19

The national constitution center makes all governing documents, conflict of interest and financial statements available to the public by providing copies upon request.

Civic Education Educational Resources - The Center produces a variety of standards-based teaching materials for use in the classroom and at the museum. These include online and on-site workshops for educators, class field trips, themed on-site educational packages, and the creation of a wide array of teaching materials: Ongoing Teacher Workshops - The Center's professional development opportunities enable educators to deepen their understanding of civic education, the U.S. Constitution and American history to promote meaningful, nonpartisan classroom instruction using the Interactive Constitution and other Center resources. For full or half-day workshops, the Center's education staff, along with guest scholars, present grade-level-appropriate sessions about the Center's cutting-edge educational materials and programs. In addition, teachers receive classroom-ready resources and learn how to illuminate constitutional ideals and inspire active citizenship. Student Guides - Visitors to the main exhibition can pick up a copy of our Student Guide, which provides an engaging way for students to experience the main exhibition by exploring how the Constitution shapes and is shaped by major events in American history. Guides are available for elementary-, middle-, and high-school students. Student guides are also available for feature exhibitions. Constitution Hall Pass - In 2010, the Center launched a series of dynamic web-based video lessons that promote civic competencies - the knowledge, intellectual processes, and democratic dispositions required to be active and engaged citizens in public life. Designed for middle- and high-school students, the videos teach historic and civic lessons, and make repeated connections between the subject matter and students' everyday lives, showing them how both history and the Constitution are relevant to them. In addition to the video lessons, throughout the year students and teachers have the opportunity to chat live online with constitutional experts and members of the museum's education staff about the topics presented in each episode. Civic Calendar - The National Constitution Center's annual Civic Calendar celebrates civic holidays and historical milestones by highlighting events, activities, lesson plans, and resources available at the museum or for use in the classroom. Each year the calendar includes educational content and original artwork tied to a different theme. The 2016 calendar focused on significant events and key figures of the Reconstruction Era. The calendar is provided to educators for free and is distributed through direct mailings and at conferences. Progressive Business Publications - This continuing education and continuing legal education partnership offers online courses and audio conferences for educators, administrators, and other professionals seeking career development. The content provided focuses on constitutional issues, current events and civic engagement. Online Resources - The Constitution Center maintains a content-rich website that provides access to a wide array of teaching resources. Educational offerings include the Interactive Constitution - a new, free resource delivering top level constitutional scholarship from across the political spectrum to classrooms throughout the country, promoted in partnership with the CollegeBoard as part of multiple Advanced Placement frameworks. Other online resources include: lesson plans, Living News video clips, live chats, podcasts, and livestreams and archived videos of the Constitution Center's stellar lineup of Town Hall Programs. The Constitution Center's blog, Constitution Daily, delivers the latest coverage of constitutional issues from national experts, including Lyle Dennison, the dean of Supreme Court reporters in Washington. Pocket Constitutions - The Center offers miniature copies of the full text of the Constitution to museum visitors as a fun and unique way for teachers to provide their students with constituti

Civic Education Theatre Programs - Offered daily to visitors as an introduction to the Main Exhibition, Freedom Rising is a multimedia theatrical experience that brings the American quest for freedom to life through 360-degree projection, state-of-the-art sound and lighting, and a dynamic live actor. In addition, the Center produces and presents museum theatre performances on a variety of mission-related topics. In 2007, the Center launched Living News, an interactive theatrical performance developed to engage student audiences with current constitutional issues. In fall 2014, the Center launched the Founding Freedoms playwriting competition, Thanks to the generous support of the John Templeton Foundation. The Founding Freedoms Playwriting Contest challenged public and independent school teachers throughout the Greater Philadelphia region (2014) and mid-Atlantic region (2016) to increase constitutional literacy and awareness of individual rights in their classrooms. The playwriting contest asks 12th grade students to compose plays exploring the contemporary meanings of the rights set forth in the Declaration of Independence, the United States Constitution, and the Bill of Rights and to think creatively about our nation's history, the Constitution, and protecting individual freedoms. The winning submission was professional produced by the Center and performed at the Center by professional actors in the summer of 2015 and 2016. The final year of this competition will be 2017. The Center also produces original theatrical performances in conjunction with some of its Feature Exhibitions, in order to highlight constitutional topics and celebrate American freedoms. Constitution High School - In 2006, the National Constitution Center (NCC) partnered with the School District of Philadelphia and the Annenberg Foundation to undertake a bold educational experiment: the opening of Constitution High School (CHS), a public school with a focus on U.S. history and democracy. Since that time, the NCC has worked closely with the students and teachers of CHS to provide curricular materials, instruction, and programming for the school. Among its many initiatives with CHS, the Center runs a four-phase workshop series help students participating in National History Day (NHD) to develop critical questions about their topics, and to hone their strategies for researching and executing their projects. In 2012, the Center developed a new educator resource, The Constitution Happened Here website, which includes student projects, curriculum, and encourages groups to upload their own projects to the website. Most recently, CHS students participated in the development and execution of our Policing in a More Perfect Union programan interactive new training module designed for police officers which emphasizes the Bill of Rights, police legitimacy and community engagement. Policing in a More Perfect Union - Policing in a More Perfect Union was created in 2015 in partnership with Philadelphia Police Commissioner Charles Ramsey and the Philadelphia Police Department. The program is designed to give police officer recruits a historical understanding of the constitutional rights and restrictions that are defined in the Bill of Rights. Policing in a More Perfect Union also examines the history of policing in a democratic society, and provides a forum for new officers to discuss the importance of their role in protecting the rights of all citizens.

The Museum of We The People Main Exhibition - The Center maintains a multimedia, interactive permanent exhibition, which is open to the public 362 days a year. The Story of We the People traces the American quest for freedom from the signing of the U.S. Constitution to the present through more than 100 interactive exhibits, films, photographs and rare artifacts. The Main Exhibition also includes the stirring, 360-degree theatrical production Freedom Rising and the iconic attraction Signers' Hall, where visitors can sign the Constitution alongside 42 life-size, bronze statues of the Founding Fathers. Traveling Exhibitions - The Center travels many of its original exhibitions to other museums and cultural institutions around the country. The Center currently has two exhibitions on the road: The first is a panel show circulated in partnership with the American Library Association (ALA) based on the Center's first originally produced exhibition, Lincoln: The Constitution and the Civil War. The second is the Center's exhibition on Prohibition, American Spirits: The Rise and Fall of Prohibition. The Prohibition exhibition is currently on a ten-venue national tour through 2018. In 2015-16 the exhibition travelled to the Peoria River Museum in Peoria, Illinois and the Grand Rapids Public Museum in Grand Rapids, Michigan. The Center was honored to have the American Spirits exhibition chosen by the NEH On the Road program for an NEH-sponsored 2,000 sq. ft. adaptation of the flagship exhibition that is touring to 24 smaller venues from June 2014 through March 2019.

Financial Statement Notes

Part V, Line 4:

Endowment funds were established to support future projects and operations. The center has a policy of appropriating for distribution each year 5 percent of its endowment fund's three year rolling average of immediate previous fiscal years.

Part X, Line 2:

Management has evaluated the tax positions of the Center and concluded that there are no uncertain tax positions that require recognition or further disclosure in the notes to the financial statements. The Center files annual information returns and is subject to audits by taxing jurisdictions; however, no audits for any periods are currently in place. Management believes that the Center is no longer subject to such audits for years prior to 2013.
