Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization works in conjunction with the organization's independent cpa's to complete a draft of the form 990. The draft is reviewed by the vp of finance and chief financial officer. A second draft of the form 990 is then sent to the finance committee for review. If the finance committee has changes, the vp of finance and chief financial officer discusses them with the cpa's and the changes are incorporated into the return, if appropriate. If the finance committee accepts the draft version, it is then recommended to the brsi board (governing body) for approval.

Form 990, Part VI, Section B, Line 12C

All officers, directors and managers are required to provide details annually of conflicts of interest. If there are none, they are required to sign off annually as such.

Form 990, Part VI, Section B, Line 15

The organization's compensation committee meets annually and reviews local and regional salary and benefit surveys along with the current salary and benefit packages of the officers. After all of the data is analyzed, the compensation committee approves officers' salary increases and benefit packages for the upcoming year.

Form 990, Part VI, Section C, Line 19

The organization's tax returns, governing documents, conflict of interest policy and financial statements are available for inspection at its administrative office upon request. In addition, the copies of the governing documents are given to new members in advance of their admission.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Capital fund purchases -1,916,139.

FORM 990, PART XII, LINE 2C:

The board designated the finance committee as the audit committee for the purpose of selecting the independent auditor and reviewing the audit of its financial statements. The finance committee, after its review, recommends the audited financial statements to the board for approval.

Financial Statement Notes

PART V, LINE 4:

Endowment funds are intended to be used for employee scholarships, benefits and training and capital expenditures for the health center, personal care and commons.

PART X, LINE 2:

The internal revenue service has classified services as exempt from federal income taxes under section 501(c)(3) of the internal revenue code ("code"), as an organization, contributions to which are deductible under section 170(c) of the code, and as an organization that is not a private foundation as defined in section 509(a) of the code. Therefore, no provision for income taxes has been included in these financial statements. Management has evaluated the tax positions taken by services, and has concluded that as of december 31, 2019 and 2018, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. Services recognizes accrued interest and penalties associated with uncertain tax positions, if any, as part of expenses. There were no income tax related interest and penalties recorded for either of the years ended december 31, 2019 or 2018.

PART XII, LINE 4B - OTHER ADJUSTMENTS:

Depreciation 482,290. Interest 59,546.
