Mission and Program Overview

Mission

The association provides an instrument through which the members of the aggregates and concrete industries may coordinate their efforts in the handling of matters of common concern; to establish and maintain high standards of business practices, customs and usages among its members; to protect & advance the interest of its members; to represent and act for its members before all divisions of government and before those public and private organizations whose work affects its members; and in general to perform such acts and services for its members where group rather than individual action is a more effective method of procedure. The association conducts various workshops, technical committee meetings, seminars, a summer meeting, and an annual meeting.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the association shall consist of three classes: 1. Active members; 2. Associate members; 3. Honorary members. Each active member shall have the right to cast one vote on all matters coming before the membership meeting. Associate members shall not have the right to vote on any matter, unless otherwise noted in the bylaws.

The members elect the board of directors from the slate of directors presented by the nominating committee.

At a meeting where a quorum is present, directors by a three-fourth's vote of the members present shall have the power to authorize action by the association which may be detrimental to the interest of some of its members and beneficial to other members. The bylaws may be amended or repealed by a two-third's vote of the regular members present at any annual meeting of the association. Amendments may be proposed by the board of directors on its own initiative or upon petition of any ten regular members addressed to the board.

The executive committee of the board of directors assumes responsibility for oversight of the audit of the organization's financial statements. The board of directors is responsible for the selection of an independent accountant. This process has not changed.

Financial Statement Notes

PART X, LINE 2:

The association is qualified as an exempt organization pursuant to section 501(c)(6) of the internal revenue code. The association is exempt from income taxes on its exempt activities. However, the association engages in certain lobbying activities that are subject to a proxy tax. There was $9,870 paid in proxy tax for 2024 and $8,575 for the year ended december 31, 2023. As a not-for-profit organization, the association is generally exempt from federal and state income taxes. The association is subject to federal and state income taxes on unrelated business income. The association recognizes penalties and interest accrued related to income tax liabilities in the provision (benefit) for income taxes in its statement of activities. For the years ended december 31, 2024 and 2023, there were no accruals for the payment of penalties and interest. When tax returns are filed, it is highly certain that some positions taken would be sustainedupon examination by the taxing authorities, while others are subject to uncertainty aboutthe merits of the position taken or the amount of the position that would be ultimately sustained. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions taken are not offset or aggregated with other positions. Tax positions that meet the more-likely-than-not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely of being realized upon settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying statement of financial position, along with any associated interest and penalties that would be payable to the taxing authorities upon examination. The association files tax returns in the u.s. Federal jurisdiction. The associations income tax returns are not subject to examination through the year ended december 31, 2021.
