Governance Explanations

Form 990, Page 6, Part VI, Line 6

Any person shall be eligible for membership in this association. New members applying for membership after september 1st will receive membership for the following calendar year. Membership fees: family 40, individual 25, and individual life 250. Membership classes and dues are to be determined by the board and reviewed annually.

Form 990, Page 6, Part VI, Line 7A

To be considered for the board, all prospects shall be members of hcvha and shallhave attained their eighteenth (18) birthday. A nomination and election committee will be appointed by the president in july of each year. Starting in september this committee will be responsible to post a slate where hcvha conducts its normal course of business. All members shall be invited to the election meeting by a written notice from the re-cording secretary or through the appropriate membership publication. This announce-ment shall be communicated to the membership at least two weeks prior to the general membership meeting. The election shall be held the 3rd sunday in november. The slate of officers and directors will remain open until this meeting, whereas the membership can still take nominations from the floor. A written ballot will be presented by the nomination & election committee to the membership for vote. Three (3) members should be appointed by the president that evening to tally the votes. Winners will be announced by the committee and recorded in the minutes of the association. Members are invited to attend general membership meetings and learn about the programs and activities that are planned by hcvha. Rights of members include: 1.each member in good standing shall have the right to one (1) vote on any motion introduced at general membership meetings. 2.each member in good standing shall be entitled to serve on or chair an association committee as defined in article 7. 3.each member in good standing may obtain a copy of the bylaws at any time. The board is the governing body of hcvha. The association shall have the following board positions: president, first & second vice president, recording secretary, communications secretary, membership secre-tary, treasurer, assistant treasurer, and nine (9) directors. Terms of board: the officers and directors whose terms expire shall be elected each year at the november general membership meeting. The terms of officers shall be for one (1) year from january 1st to december 31st. No officer shall hold office for more than four (4) consecutive terms, but may be elected to the same office after a lapse of one (1) year. The terms of directors shall be for three (3) years from january 1st to decembers 31st. No director shall hold office for more than two (2) consecutive terms, but may be re-elected as a director after a lapse of one (1) year.

Bylaws: an amendment to or revision of the bylaws shall be approved by the majority of the board. The membership must then be notified in writing of the change at least five (5) days prior to the next scheduled membership meeting. The amendment or revision may be adopted by a vote of two-thirds (2/3) of the members present at two (2) consecutive membership meetings. Voting shall be by ballot.

A draft copy of the form 990 is reviewed by the executive director and the treasurer of the organization--the appointed persons by the board of directors for review of the 990. Once approval is received, the return is filed with the irs.

Financial Statement Notes

Schedule D, Page 1, Part III, Line 1A

Organization acquired the historic joanna furnace iron plantation (1791- 1898) from bethlehem steel corporation. Presently, the organization is focusing on the restoration and rebuilding of this historically significant ironmaking community. In 1996, the organization developed a comprehensive master plan detailing the long-range plans for the site that will transform this complex back to its splendor of yesteryear. Collection items, such as cast iron stoves and historical patent gazettes, acquired either through purchase or donation are not capitalized. Purchases of collection items are recorded as decreases in unrestricted net assets or decreases in restricted net assets if purchased with donor-restricted assets. Contributions of collection items are not recognized in the statement of activities. Proceeds from deaccessions or insurance recoveries are reflected on the statement of activities.

ALL MEMBERS SHALL BE INVITED TO THE ELECTION MEETING BY A WRITTEN NOTICE FROM THE RE-CORDING SECRETARY OR THROUGH THE APPROPRIATE MEMBERSHIP PUBLICATION. THIS ANNOUNCE-MENT SHALL BE COMMUNICATED TO THE MEMBERSHIP AT LEAST TWO WEEKS PRIOR TO THE GENERAL MEMBERSHIP MEETING. THE ELECTION SHALL BE HELD THE 3RD SUNDAY IN NOVEMBER. THE SLATE OF OFFICERS AND DIRECTORS WILL REMAIN OPEN UNTIL THIS MEETING, WHEREAS THE MEMBERSHIP CAN STILL TAKE NOMINATIONS FROM THE FLOOR. A WRITTEN BALLOT WILL BE PRESENTED BY THE NOMINATION & ELECTION COMMITTEE TO THE MEMBERSHIP FOR VOTE. THREE (3) MEMBERS SHOULD BE APPOINTED BY THE PRESIDENT THAT EVENING TO TALLY THE VOTES. THE BOARD IS THE GOVERNING BODY OF HCVHA.
