Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board established an executive committee that may exercise all of the powers and authority of the board between board meetings, except it shall not have any power or authority as to the following: (a) the filling of vacancies on the board, (b) the adoption, amendment or repeal of the bylaws, (c) the amendment or repeal of any resolution of the board, (d) action on matters committed by the bylaws or by resolution of the board to another committee of the board. The executive committee consists of the chair, vice-chair, secretary and two other members of the board.

The form 990 is prepared by an independent accounting firm, then the organization's finance committee receives a draft copy for review prior to filing. The organization's full board will receive a copy of the form 990 before the return is filed.

Form 990, Part VI, Section B, Line 12C

Annually all board members and management staff receive copies of the conflict of interest policy and are required to disclose any conflict of interest that may exist. This would include conflicts due to family or other relationships. All copies are reviewed by the chief executive officer and the human resources director. Copies of the signed acknowledgements for staff are retained in the human resources office and for board members in the chief executive officer's office. Should any board member have a conflict, he or she would recuse himself or herself from any discussions and/or decision related to the conflict. Monitoring of proposed or ongoing transactions for potential conflicts is undertaken through internal controls established in the finance department. Spending authority policies exist to control who has the authority to encumber pennswood village and the extent to which they are able to do so. Staff with spending authority are required to annually complete conflict of interest statements and to disclose any conflicts that may exist. Any concerns are brought to the attention of the cfo for review and action, if necessary. If a conflict is determined to exist, then the conflicting parties will be notified and the transaction halted. Gross violations of the conflict of interest policy may result in disciplinary action up to and including termination.

The board conducts an annual review of the chief executive officer (ceo) and sets compensation based on performance that is consistent with competitive salary data. Annual salary surveys are completed by human resources, a compensation consultant is utilized as needed and the form 990 of other similar organizations are used in the salary decisions. The annual review process and final decisions are timely documented and put into human resource files. PENNSWOOD VILLAGE OFFERS ACCOMMODATIONS OF 331 RESIDENTIAL LIVING APARTMENTS OF VARYING SIZES, 37 PERSONAL CARE APARTMENTS WITH 41 LICENSES AND 53 MEDICARE SKILLED NURSING BEDS THAT MEET THE PHYSICAL, SOCIAL, AND SPIRITUAL NEEDS OF RESIDENTS REQUIRING THESE HIGHER LEVELS OF CARE.RESIDENT CENTERED CARE IS PARAMOUNT TO PENNSWOOD VILLAGE'S MISSION. SERVICES INCLUDE AN ON-SITE PHYSICIAN'S OFFICE STAFFED BY CONTRACTED PHYSICIANS, STAFF NURSE PRACTITIONERS, AND NURSING STAFF. APPROXIMATELY 13,000 VISITS ARE SEEN BY THIS OFFICE ANNUALLY. OTHER OUT-PATIENT SERVICES INCLUDE PHYSICAL, OCCUPATIONAL, AND SPEECH THERAPIES, MEDICATION MANAGEMENT, SOCIAL WORK SERVICES, HEALTH AND WELLNESS PROGRAMS INCLUDING LAND FITNESS AND AQUATICS PROGRAMS AS WELL AS DIETARY COUNSELING AND MATTERS OF PUBLIC HEALTH CONCERN. STAFF ALSO PROVIDE AT HOME CARE TO PENNSWOOD RESIDENTS WHO MAY REQUIRE OR BENEFIT FROM SUCH SERVICES, YET DO NOT REQUIRE A HIGHER LEVEL OF INPATIENT SERVICES. HOME VISITS BY REGISTERED NURSES AND LICENSED PRACTICAL NURSES ARE APPROXIMATELY 26,000. PENNSWOOD VILLAGE DOES NOT BILL THE RESIDENTS OR MEDICARE FOR THIS SERVICE. THE STAFF PROVIDES A MYRIAD OF SERVICES SUCH AS DRESSING CHANGES, MEDICATION ADMINISTRATION, AND ASSESSMENT WHEN DISCHARGED FROM THE NURSING HOME, ASSISTED LIVING FACILITY OR HOSPITAL AND PAIN MANAGEMENT. RESIDENTS WHO REQUIRE MANAGEMENT AND OBSERVATION BECAUSE THEY ARE DETERIORATING MENTALLY AND PHYSICALLY ARE ALSO SEEN ON A REGULAR BASIS. THE PROGRAM IS A VALUABLE PART OF THE HEALTH CARE SYSTEM AS IT ASSISTS THE RESIDENT TO REMAIN INDEPENDENT AS LONG AS POSSIBLE. RESIDENTS ARE ADMITTED TO THE COMMUNITY WITH CONSIDERATION GIVEN TO THEIR ABILITY TO PAY THE ESTABLISHED FEES THAT ARE BASED ON THE TYPE OF ACCOMMODATION OCCUPIED. HOWEVER, NO RESIDENT WILL BE ASKED TO LEAVE THE COMMUNITY FOR REASONS OF INABILITY TO PAY THE ESTABLISHED FEES WHEN THE INABILITY TO PAY IS NOT THEIR OWN FAULT. FINANCIAL ASSISTANCE TO THOSE IN NEED IS AVAILABLE AND FOR THE YEAR THAT ENDED MARCH 31, 2024, $217,890 WAS AWARDED TO 6 INDIVIDUALS. OVER THE LAST TEN YEARS ASSISTANCE TO RESIDENTS AMOUNTED TO APPROXIMATELY $3.73 MILLION. PENNSWOOD VILLAGE ALSO PROVIDES FINANCIAL ASSISTANCE TO THOSE WHO REQUEST SUPPORT TO PAY THE INITIAL ENTRY FEE. SINCE 2002, $516,656 HAS BEEN AWARDED FOR THIS PURPOSE. RESIDENTS OF PENNSWOOD VILLAGE ARE GENEROUS IN THEIR VOLUNTEER ACTIVITIES WITHIN THE COMMUNITY AND ALSO IN THE BROADER COMMUNITY AWAY FROM PENNSWOOD VILLAGE. THE HOURS OF VOLUNTARY SERVICE TYPICALLY EXCEED 5,000 ANNUALLY WITH OVER 200 RESIDENTS PARTICIPATING.PENNSWOOD VILLAGE HAS ACTIVELY SOUGHT TO SIGNIFICANTLY REDUCE OR ELIMINATE THE NEGATIVE IMPACT OF ITS BUILDINGS ON THE ENVIRONMENT AND IMPROVE THE QUALITY OF LIFE OF OUR RESIDENTS. THE ENVIRONMENTAL BENEFIT INCLUDES A REDUCTION OF NATURAL RESOURCES CONSUMED; ECONOMIC BENEFITS IMPROVE THE BOTTOM LINE AND REDUCE OPERATING COSTS TO ALLOW MORE DOLLARS TO BE REDIRECTED TO PROGRAMS AND SERVICES BENEFITTING SENIORS; THE HEALTH AND SAFETY BENEFIT ENHANCES RESIDENT COMFORT, HEALTH, AND QUALITY OF LIFE; AND THE COMMUNITY BENEFIT MINIMIZES THE STRAIN AND DEMANDS ON OUR LOCAL INFRASTRUCTURE.DINING SERVICES AT PENNSWOOD VILLAGE PROVIDES HOT AND COLD FOOD AND PACKAGING SUPPLIES FOR THE WOODSIDE MEALS PROGRAM. HIGHLY NUTRITIOUS HOT MEALS ARE PRODUCED DAILY FOR THIS PROGRAM AND PROVIDED AT COST TO WOODSIDE MEALS ON WHEELS. ALL THE PACKAGING SUPPLIES USED AND LABOR COST ASSOCIATED WITH THE MEALS ARE PROVIDED COMPLIMENTS OF PENNSWOOD VILLAGE. ON AVERAGE, THERE ARE 12,000 MEALS PREPARED ANNUALLY, WHICH EQUATES TO APPROXIMATELY 1,200 STAFF HOURS.
