Governance Explanations

Form 990, Part VI, Section A, Line 1

The council has an executive committee that includes the president, president ex-officio, first vice president, second vice president, secretary, and treasurer. The business of the executive committee is conducted along the same guidelines as the board of directors except that a majority vote shall prevail. The executive committee does not have authority in reference to any of the following: a) submission to members of any action requiring approval of the members under the pennsylvania nonprofit corporation law. B) filling vacancies on the board of directors. C) adoption, amendment or repeal of the by-laws. D) amendment or repeal of any resolution of the board of directors. E) action on matters committed by the by-laws or resolution of the board of directors to another committee. F) policy and/or programmatic changes without final approval of full board of directors. During fy 2020, no one held the position of president ex-officio.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. It is reviewed by the executive director and director of operations and business administration, and then by the treasurer. The form 990 is provided to the board prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to council board members, staff and volunteers who have been granted significant independent decision-making authority with respect to financial or other resources of the council. Potential conflicts are reported to the corporate compliance officer and/or executive director, who are responsible for reviewing and investigating any suspected conflict of interest; this includes a committee review process as well as disclosures, as appropriate. If further action or review is required by the board, the proposed action or transaction must be approved by a majority of the disinterested members of the board. The board shall consider whether the terms of the proposed transaction are fair and reasonable to the organization and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with a party or entity that is not an interested party. Annual disclosure of existing and potential conflicts of interest is required. The secretary of the board files copies of all disclosure statements with the official corporate records of the organization.

Form 990, Part VI, Section B, Line 15

The council's personnel committee meets annually to determine the salaries for the executive director and other officers. In order to establish a basis for making recommendations, the committee: reviews the financial status of the agency, reviews individual salary ranges to determine if ranges are competitive with similar jobs in similar agencies, researches the consumer price index (cpi) for the philadelphia region for the past six months, and reviews performance evaluations. Once all information has been reviewed, the personnel committee makes a recommendation to the full board of directors for review and approval. The board's approval is documented in the minutes.

Form 990, Part III, Line 3

The purpose of the targeted capacity expansion (tce) thriving in recovery project is to expand peer-to-peer recovery support services in chester and montgomery counties in southeast pennsylvania. The purpose of tce is to engage, educate, activate, and support volunteer peers to expand and deliver a menu of peer recovery support services for individuals and families. The three-year tce grant ended on september 30, 2019.

FORM 990, PART III, LINE 4:

In light of the impact of the covid-19 pandemic on our southeast pennsylvania region, the council worked to ensure continuity of operations via telehealth and other virtual supports for the community we serve. We prepared plans and responses to keep our staff and participants safe and prevent community spread within the region. These changes included staff working remotely to continue to connect those we serve to the resources needed and providing telephonic case management recovery support services and other services. We temporarily closed our recovery community center sites to in-person client services, and staff worked to continue to connect those we serve to the resources needed and providing telephonic case management recovery support services and other services. We expanded hours for the information line, (800) 221-6333, and added a zoom recovery support chat session. Both are staffed from 9a-9p m-f. As our programs re-opened based on community conditions, we worked toward a return to normal operations, but we recognize that our programs needed to continue to be a blend of in-person and virtual engagement. Therefore, we remain prepared to continue providing services remotely or to return to that should the public health priorities warrant that, and we know that the virtual program offerings continue to be very beneficial to many participants, and so plan to incorporate both methods as we move forward. There was significant impact throughout fy20 on our program volume, and there were several key factors that ensured fiscal stability. The council was able to secure a paycheck protection program loan. Several of our funders had alternative payment programs in place that ensured program income remained steady with historical levels. There were also numerous opportunities for covid-19 specific grants from the counties served, from united way of bucks county, and private foundations that allowed for the safety supplies, technology needs, and additional staffing that the council's response to the pandemic required.

Financial Statement Notes

PART IV, LINE 2B:

Funds held for community partnerships have been established to account for assets received by the council on behalf of its pro-act community partnership program. These funds have been received through donations and fundraising events of the council to be used to support this program.

PART X, LINE 2:

The council is exempt from income tax under section 501(c)(3) of the internal revenue code. Accordingly, there is no provision for income taxes. The council is not aware of any activities that would jeopardize its tax-exempt status, nor is it aware of any of its activities that are subject to tax on unrelated business income. No current tax obligation exists on the federal or state level. Additionally, the council has been classified as an organization that is not a private foundation under section 509(a)(1). The council follows the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements. The application of this standard had no impact on the council's financial statements.

CASE MANAGEMENT AND SUPPORT THROUGH TREATMENT AND RECOVERY FOR INDIVIDUALS WHO HAVE BEEN IDENTIFIED AS HAVING SUBSTANCE USE DISORDERS. THE COUNCIL PROVIDES A MYRIAD OF PROGRAMS THAT PROVIDE BOTH EDUCATION AND INTERVENTION SERVICES, INCLUDING CRIMINAL JUSTICE PROGRAMS (DUI, TASC, TASC DCDP); CASE MANAGEMENT SERVICES (TRADITIONAL CASE MANAGEMENT, MOMS PROGRAM, CHILDREN & YOUTH AND MOBILE DRUG TESTING).(CONTINUED ON SCHEDULE O.)THE PURPOSE OF THE CAYA/RISE PROGRAM IN CENTRAL AND UPPER BUCKS COUNTY IS TO CREATE A HAVEN OF HOPE FOR YOUTH AND THEIR FAMILIES THROUGH PREVENTION, EDUCATION, AND THERAPEUTIC SUPPORTS EARLY IN DEVELOPMENT. THIS PROGRAM IS DESIGNED FOR YOUTH AND YOUNG ADULTS (12 TO 25 YEARS OLD) WHO HAVE BEEN IDENTIFIED WITH SUBSTANCE USE AND IN SOME CASES, MENTAL HEALTH CONCERNS. THE CORE CONCEPT OF THIS PROGRAM IS TO CREATE A SAFE SPACE WHERE THESE CHALLENGES ARE ADDRESSED, WITH AN EMPHASIS ON COGNITIVE BEHAVIORAL THERAPY (CBT) WHICH FOCUSES ON CHALLENGING AND CHANGING UNHELPFUL COGNITIVE DISTORTIONS AND BEHAVIORS, IMPROVING EMOTIONAL REGULATIONS AND THE DEVELOPMENT OF PERSONAL COPING STRATEGIES THAT TARGET SOLVING CURRENT PROBLEMS AND ON FAMILY ENGAGEMENT. THE COUNCIL WAS AWARDED A THREE-YEAR GRANT FOR THIS PROGRAM THAT BEGAN ON SEPTEMBER 30, 2019.DRUG-FREE COMMUNITY COALITIONS ARE FORMAL COLLABORATIVE ARRANGEMENTS AMONG GROUPS OR ORGANIZATIONS WITHIN A COMMUNITY THAT ARE FORMED OR EXPANDED TO PREVENT AND REDUCE YOUTH SUBSTANCE USE, INCLUDING PRESCRIPTION DRUG ABUSE, WITHIN THE COMMUNITY. IN A COMMUNITY COALITION, EACH MEMBER MAINTAINS ITS INDEPENDENT STATUS WHILE AGREEING TO WORK COLLABORATIVELY TO ACHIEVE A COMMON GOAL.
