Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the president, the vice president, the secretary, the treasurer, plus the chairs of the communications and advocacy, planning, and governance and nominating committees, and such other directors as the president may appoint, subject to approval by the board. The board of directors delegates broad authority to the executive committee which is authorized to act on behalf of the board between its regular meetings. No committee, including the executive committee, shall have authority over the following matters: (a) any amendment to the articles of incorporation or the bylaws, (b) any material change in the mission of the organization, or (c) any decision to merge the organization with or into another entity, or to sell, or create or allow the creation of a lien upon, all or substantially all of the organization's assets and/or to liquidate the organization.

The form 990 is prepared by an independent accounting firm. The finance committee conducts a detailed review of the 990 on behalf of the board. A copy of the 990 is provided to the full board for review and approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to board members, employees and volunteers of accessmatters. Potential conflicts are reported to the president, or their designee. The disclosure of that shall be made as soon as the conflict of interest is known and the individual shall refrain from any action that may affect accessmatters' participation in a contract or transaction. President, or their designee, to whom the potential conflict is disclosed shall determine whether a conflict exists or not. A board member or volunteer who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken. Such ineligibility to vote shall be disclosed in the minutes of the meeting.

Form 990, Part VI, Section B, Line 15A

The organization engaged in independent compensation and benefits consultant during fy2020 to conduct an assessment of all positions, including the ceo. The assessment looked at parity across similarly situated positions and looked at comparable positions in our market to assess whether the ceo's salary was within a competitive range. The executive committee of the board of directors utilized the ceo-specific data in the assessment in fy2018, fy2019 and fy2020 in conjunction with a performance review, to determine the ceo's compensation as part of an executive session of an executive committee meeting. The performance review component of the ceo compensation assessment entailed a review of performance based on goals and objectives that were previously discussed and approved by the executive committee of the board of directors. The organization engaged the independent firm in fy2021 to conduct an updated review and plans to update the report at regular intervals.

Additional Explanations

FORM 990, PART III, LINE 4:

Accessmatters, like other organizations, was impacted by the covid-19 pandemic. In mid-march 2020, accessmatters closed its physical office and moved rapidly to assist all staff in establishing effective remote working environments with technology and human resources supports. Continually monitoring local, state, and federal guidance and the trajectory of the pandemic in our region, we remained working remotely throughout 2020. Also working closely with our funders and utilizing other financial resources like the payroll protection program, accessmatters was able to retain staff positons throughout 2020. Our staff supported the health care networks with whom we partner to assess strategies for care continuity while ensuring client safety. In time, our providers were all able to manage transitions to hybrid and telehealth care delivery. Our own direct service staff had to adapt their practices to remote and virtual support during 2020, for example, our hiv testing team pivoting to offering virtual support for at-home testing and our training team pivoted its training portfolio to a fully virtual environment. These changes helped accessmatters to continue providing quality care to our networks and clients throughout 2020.

PART X, LINE 2:

Accessmatters is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and is exempt from state income taxes under the provisions of the pennsylvania nonprofit corporation law. Accessmatters follows the income tax standard for uncertain tax positions. This standard has no effect on the financial statements, as the organization has determined there are no uncertain tax positions. The organization's income tax returns are subject to review and examination by federal and state authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status. The organization is not aware of any activities that are subject to tax on unrelated business income or excise or other taxes.

IN FY2020, ACCESSMATTERS' TITLE X FAMILY PLANNING PROGRAM SUPPORTED A NETWORK OF HEALTHCARE PROVIDER ORGANIZATIONS AND COLLECTIVELY SERVED OVER 81,000 PEOPLE LIVING AT OR NEAR THE FEDERAL POVERTY LEVEL WITH CONFIDENTIAL, HIGH-QUALITY, PATIENT-CENTERED SEXUAL AND REPRODUCTIVE HEALTH SERVICES. THESE SERVICES INCLUDED THE FOLLOWING: AFFORDABLE FDA-APPROVED BIRTH CONTROL, PREGNANCY PLANNING, BREAST AND CERVICAL CANCER SCREENING, TESTING AND TREATMENT FOR SEXUALLY TRANSMITTED DISEASES (STDS), HIV TESTING, AND REFERRALS FOR OTHER CRITICAL SERVICES SUCH AS PRENATAL CARE, SUBSTANCE USE DISORDER TREATMENT, AND PRIMARY CARE. ALONG WITH PROVIDING ADOLESCENT HEALTH SERVICES THROUGH THE TITLE X FAMILY PLANNING CLINIC-BASED SITES, ACCESSMATTERS MANAGES A STATEWIDE NETWORK OF HEALTH RESOURCE CENTERS SERVING YOUNG PEOPLE IN PENNSYLVANIA SCHOOLS AND COMMUNITIES. IN FY2020, ACCESSMATTERS' PROGRAMS COLLECTIVELY SERVED OVER 30,000 YOUTH AGED 13-24. ACCESSMATTERS MANAGES THE RYAN WHITE HIV NETWORK IN PHILADELPHIA AND SERVED OVER 3,600 PEOPLE WITH COMPREHENSIVE, FAMILY-CENTERED CARE; AND THE PENNSYLVANIA BREAST AND CERVICAL CANCER EARLY DETECTION PROGRAM IN SOUTHEASTERN PENNSYLVANIA REGION, REACHED 2,600 UNINSURED OR UNDERINSURED PEOPLE IN FY2020 WITH EARLY DETECTION AND TREATMENT SERVICES; AND ACCESSMATTERS ENGAGES WITH PARTNERS IN FIELDS SUCH AS SUBSTANCE USE DISORDER TREATMENT AND MATERNAL AND CHILD HEALTH.

IN FY2020, ACCESSMATTERS PROVIDED MORE THAN 70 PROFESSIONAL DEVELOPMENT AND SKILLS-BUILDING TRAININGS, MANY OF WHICH WERE PLANNED TO BE DELIVERED IN-PERSON AND HAD TO BE ADAPTED FOR VIRTUAL IMPLEMENTATION DUE TO COVID. ACCESSMATTERS' INFORMATION HOTLINE IS STAFFED BY TRAINED COUNSELORS WHO PROVIDE COMPASSIONATE, CONFIDENTIAL, AND COMPREHENSIVE INFORMATION AND REFERRALS FOR SERVICES. HOTLINE STAFF ALSO PROVIDE OUTREACH SERVICES AT HEALTH FAIRS AND COMMUNITY EVENTS. FOR OVER FIVE YEARS, BROTHERS UNITED, ACCESSMATTERS' HIV PREVENTION, SCREENING, AND LINKAGE-TO-CARE PROGRAM, HAS SERVED POPULATIONS THAT ARE AT HIGHER RISK FOR HIV AND OFTEN HISTORICALLY UNDERSERVED, WITH A MOBILE SCREENING PROGRAM THAT BRINGS HIV TESTING INTO NEIGHBORHOODS MOST IMPACTED BY HIV. IN FY2020, THE BROTHERS UNITED PROGRAM CONDUCTED 1,335 HIV TESTS.
