The board of directors delegates broad authority to the executive committee which is authorized to act on behalf of the board between its regular meetings on matters as defined in the bylaws.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The finance committee conducts a detailed review of the 990 on behalf of the board. A copy of the 990 is provided to the full board for review and approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to board members, employees and volunteers of accessmatters. Potential conflicts are reported to the president, or their designee. The disclosure of that shall be made as soon as the conflict of interest is known and the individual shall refrain from any action that may affect accessmatters' participation in a contract or transaction. President, or their designee, to whom the potential conflict is disclosed shall determine whether a conflict exists or not. A board member or volunteer who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken. Such ineligibility to vote shall be disclosed in the minutes of the meeting.

Form 990, Part VI, Section B, Line 15

The organization engaged an independent compensation and benefits consultant during fy17 to conduct an assessment of all positions, including the ceo and other senior staff members. The assessment looked at parity across similarly situated positions, and looked at comparable positions in our market to assess whether salaries were within a competitive range. Management utilized that data in the following fiscal years to ensure compensation packages were competitive, adhered to the compensation philosophy outlined in the assessment, and were within the board approved budget for compensation and benefits. The executive committee of the board of directors utilized the ceo-specific data in the assessment in fy17, fy18, and fy19, in conjunction with a performance review, to determine the ceo's compensation as part of an executive session of an executive committee meeting. The performance review component of the ceo compensation assessment entailed a review of performance based on goals and objectives that were previously discussed and approved by the executive committee of the board of directors. The organization engaged the independent firm in fyi19 to conduct an updated review, and in fy20 to perform a targeted analysis of selected positions, and plans to update the report at regular intervals.

ACCESSMATTERS HOSTS A NUMBER OF DIFFERENT PROGRAMS PROVIDING INDIVIDUALS WITH CONFIDENTIAL, HIGH-QUALITY, PATIENT-CENTERED SEXUAL AND REPRODUCTIVE HEALTH SERVICES. THESE LIFE-SAVING AND LIFE-CHANGING SERVICES INCLUDE: AFFORDABLE FDA-APPROVED BIRTH CONTROL, PREGNANCY PLANNING, BREAST AND CERVICAL CANCER SCREENING, TESTING AND TREATMENT FOR SEXUALLY TRANSMITTED DISEASES (STDS), HIV TESTING, AND REFERRALS FOR OTHER SERVICES LIKE PRENATAL CARE AND PRIMARY CARE. IN FY19, ACCESSMATTERS' NETWORK OF 22 FAMILY PLANNING PROVIDERS IN 57 LOCATIONS SERVED OVER 103,000 PATIENTS WITH SEXUAL AND REPRODUCTIVE HEALTH SERVICES. THE CDC AND STATE-FUNDED PENNSYLVANIA BREAST AND CERVICAL CANCER EARLY DETECTION PROGRAM (FORMERLY CALLED HEALTHYWOMAN) ADMINISTERED BY ACCESSMATTERS IN SOUTHEASTERN PENNSYLVANIA PROVIDED OVER 4,800 PATIENTS 21 YEARS OLD AND OLDER WITH BREAST AND CERVICAL CANCER SCREENING AND PREVENTION SERVICES AT 20 HEALTH ORGANIZATIONS OPERATING 40 CLINICAL SITES. IN PARTNERSHIP WITH GILEAD, ACCESSMATTERS PILOTED APPROACHES TO EMPOWER FAMILY PLANNING CLIENTS WITH INFORMATION TO MAKE INFORMED CHOICES ABOUT PRE-EXPOSURE PROPHYLAXIS IN ORDER TO BETTER PROTECT THEMSELVES FROM THE RISK OF HIV TRANSMISSION. ACCESSMATTERS ALSO COORDINATES THE PENNSYLVANIA PERINATAL PARTNERSHIP, A STATEWIDE COALITION OF MATERNAL-CHILD HEALTH ORGANIZATIONS THAT WORK TOGETHER FOR INCREASED EDUCATION, COLLABORATION, AND ADVOCACY ON VARIOUS ISSUES IMPORTANT TO MATERNAL-CHILD HEALTH. ONE OF OUR NEWEST PROGRAMS WORKS TO ENHANCE CARE COORDINATION BETWEEN THE BEHAVIORAL HEALTH AND FAMILY PLANNING SYSTEMS IN ORDER TO BETTER SERVE THE SEXUAL AND REPRODUCTIVE HEALTH NEEDS OF PEOPLE WITH OPIOID USE DISORDER.

THESE SERVICES WERE PROVIDED AT YOUTH-FRIENDLY FAMILY PLANNING CLINICAL SITES AND AT OVER 44 SCHOOL- OR COMMUNITY-BASED HEALTH RESOURCE CENTERS THROUGHOUT PENNSYLVANIA.
