Following review, a draft copy of the form 990 will be sent to the chair of the audit committee and the treasurer for their review. Members of the board will be notified that the form 990 is available for their review if they wish to do so. Otherwise, the review by the chair of the audit committee and the treasurer will constitute a review on behalf of the entire board. Within five business days of receipt of the form, the chair of the audit committee and treasurer will authorize management, in writing, to sign and file the form 990 on behalf of the organization. As a result of the audit schedule, management is authorized to extend the filing of form 990 by six months.”

In addition, each officer, director, and key employee shall annually complete a conflict of interest questionnaire. Compliance with the policy will be monitored as part of performance evaluations of key employees. If conflicts of interest exist for key employees, the chair of the board will determine the corrective measures, if any, to be taken to resolve the conflict or will impose the appropriate restriction, if any, on the persons with the conflict. The board will have final approval of any corrective measures or imposed restrictions. Such restrictions will require excluding conflicted persons from discussion and approval of restrictions benefiting them, directly or indirectly.”
