“The Form 990 will be prepared, at the discretion of the Chair of the Audit Committee and management, by either the auditing firm engaged for the fiscal year being reported or by qualified internal staff, including outsourced staff. When completed, the form will be reviewed by the Vice President for Finance and Administration. Preparation of the Form 990 will not be undertaken until the annual audit has been distributed and the audit will be the basis of the financial information on the Form 990. Following a review, a draft copy of the Form 990 will be sent to the Chair of the Audit Committee and the Treasurer for their review. Members of the Board will be notified that the Form 990 is available for their review if they wish to do so. Otherwise the review by the Chair of the Audit Committee and the Treasurer will constitute a review on behalf of the entire Board. Within five business days of receipt of the form, the Chair of the Audit Committee and the Treasurer will authorize management, in writing, to sign and file the Form 990 on behalf of the organization. As a result of the audit schedule, management is authorized to extend the time of the filing of Form 990 by three months, and if necessary, six months.”

“Each officer, director, and key employee shall report any conflict of interest to the Chair of the Board and the Chair of the Audit Committee as soon as practical after becoming aware of such a conflict. In addition, each officer, director, and key employee shall annually complete a Conflict of Interest Questionnaire. Compliance with the policy will be monitored as part of performance evaluations of key employees. If conflicts of interest exist for key employees, the Chair of the Board will determine the corrective measures, if any, to be taken to resolve the conflict or will impose appropriate restrictions, if any, on the persons with the conflict. If conflicts of interest exist for members of the Board, the Chair of the Audit Committee will recommend to the Board the corrective measures, if any, on the persons with the conflict. The Board will have final approval of any corrective measures or imposed restrictions. Such restrictions will require excluding conflicted persons from discussion and approval of transactions benefiting them, directly or indirectly.”

“During 2013, the Board agreed to award a grant to support the renovations of Dilworth Plaza. Various efforts were performed during 2013 with regards to the tax structure in Philadelphia.”

“Fees for Services (Other) includes various consultants engaged with the tax reform study project. Tasks included data research, gathering and analyzing as well as the development of the Philadelphia growth coalition website. Fees incurred for these services totaled $66,584. The remaining $9,688 was paid to a consultant at the start of 2013 for various services including membership management, reporting and billing. Services were turned over to a full time employee of the Center City District beginning in May of 2013.”
