“Leslie kase and andrew swinney - family relationship”
“According to the resolution and declaration of trust, several of tpf's board members are appointed by outside agencies including the philadelphia bar association, chamber of commerce, several philadelphia universities, urban affairs coalition, and the trustee banks.”
“The governing body can only make changes to the grant distribution amount (calculated as a percentage rate applied to the assets) with the approval of the trustee banks.”
“The organization's public accounting firm prepares the form 990 based on the information provided by members of the finance team. Once the return is prepared, it is reviewed by the finance team along with executive management before being provided to the audit committee and governing body for their review.”
“Board members, standing committee members, and staff shall advise the president of the foundation of affiliation with any grantee, potential grantee or vendor in response to an annual questionnaire from the foundation and at any other time when such person becomes aware of an affiliation which has not previously been disclosed. No member of the board or any standing committee who is affiliated with any organization being considered for a grant from the foundation shall participate in the consideration of such grant, or shall vote on such grant award. No member of the board or any standing committee who is affiliated with any vender of goods or services to the foundation shall participate in the consideration or administration of any contract with such vendor. No member of the staff of the foundation shall, without the permission of the president, be affiliated with any grantee, prospective grantee or vendor to the foundation.”
“To determine the president's compensation, the philadelphia foundation compensation committee compares the salary to peer organizations, analyzes various local and national salary surveys, and reviews the president's accomplishment of goals and objectives over the prior year. The president reviews local and national salary surveys and determines the salary of officers and key employees within the budget approved by the board of managers.”
“The organization makes its conflict of interest policy available upon request. It makes its audited financial statements available through the organization's annual report and also on its website.”
“Philanthropic engagement and is committed to improving the quality of life in bucks, chester, delaware, montgomery and philadelphia counties through funds established by its donors. The mission of the philadelphia foundation is as vital now as it was in 1918. The philadelphia foundation is in the business of "building community" through: building philanthropic resources; managing those resources well; distributing those resources effectively; and improving the quality of life for all in the region. The philadelphia foundation fulfills that mission by: convening, leading and supporting; and focusing on vulnerable populations, our donors and the nonprofit sector. The philadelphia foundation achieves its mission based on certain values that are paramount to all that we do. These values are (in order of importance): trust, hope and efficiency. The philadelphia foundation currently has approximately $349 million in assets of which more than $21 million were distributed in 2014 to more than 1,200 community agencies. Our investments in the community are guided by the recognition of the perpetual importance of families, diversity and human differences, personal expression, children and youth, basic human needs, and safe and liveable neighborhoods. Grants for these causes come from 967 charitable funds established by individuals, families, and institutions to support humanitarian, cultural and educational programs.”
“The organization has an audit committee that assumes responsibility for the audit process. This has not changed from the prior year.”
“The philadelphia foundation contracts with the henrietta tower wurts memorial and the thomas scattergood behavioral health foundation to provide investment management of their respective assets and to provide assistance in their grant making and grant processing activities.”
“The goal of the foundation's investment policy is to generate income to support current operations through a total return investment strategy and a spending policy set to maintain, and ideally increase the purchasing power of the endowment, without putting the principal value of these funds at undue risk. The philadelphia foundation's permanent endowment is .33% and has a board restricted endowment of .85%. The remaining endowment (98.82%) is restricted by donor purpose. However, in the event that it becomes unnecessary, undesirable, impractical or impossible to utilize funds for such purposes designated by the donor, the philadelphia foundation has the right to utilize the donor's funds for such other charitable purposes that will as closely as possible maintain the donor's original intent. Due to the variance power that exists, these funds are accounted for as unrestricted in the financial statements of the foundation and therefore are not included in the three categories presented within schedule d.”
“The philadelphia foundation (tpf), the philadelphia foundation, inc. (tpf, inc.), tpf special assets fund (saf), queen's jubilee education foundation(qjef) and the harry r. Halloran jr charitable trust (halloran trust) (these five entities comprise the foundation) are exempt from federal income taxes under section 501(c)(3) of the internal revenue code (the code). Tpf is treated as a publicly supported, tax-exempt community foundation as defined in sections 509(a)(1) and 170(b)(1)(a)(vi) of the code. In addition, the irs has determined that tpf, inc. Is a component part of tpf and is exempt as such. Saf and the halloran trust are recognized as tax exempt supporting organizations under section 509(a)(3) of the code. Qjef is recognized as a publicly supported tax exempt organization as defined in sections 509(a)(1) and 170(b)(1)(a)(vi)of the code. Certain unrelated business income is subject to federal income taxes. The foundation follows the income tax standard for uncertain tax positions. The application of this standard has no impact on the foundation's financial statements. The foundation engages in investments that produce unrelated business income. The associated unrelated business income tax is generated primarily from earnings on leveraged investments (primarily hedge funds) as well as ownership of s-corporation stock. As of december 31, 2014, saf had prepaid taxes of $108,715, which is included in saf's prepaid expenses and other assets in the accompanying statement of financial position. As of december 31, 2013, prepaid unrelated business income tax, primarily generated on earnings from distributions of s-corporation stock, was $341,552 and is included in saf's prepaid expenses and other assets in the accompanying statement of financial position. Tpf, tpf, inc., saf's, qjef's and halloran trust's income tax returns are subject to review and examination by federal and state authorities. The foundation is not aware of any activities that would jeopardize their tax-exempt status. The tax returns for the years 2011 through 2013 are open to examination by federal and state authorities.”
