Governance Explanations

Organization Members or Stockholders - Form 990 Part VI Section A Ln 6

Whyy members make contributions to the organization but have no governing or voting rights.

Form 990 Review Process - Form 990 Part VI Section B Ln 11B

THE 990 IS REVIEWED PRIOR TO FILING AT A MEETING OF THE FINANCE COMMITTEE OF THE BOARD. WHYY, Inc. provides a copy of the 990 to all board members immediately after the review by the finance committee via a secure website. The form is available on the website until WHYY, Inc. files the return.

Monitoring Conflict of Interest Policy - Form 990 Part VI Section B Ln 12C

Members of the board of directors must answer an annual questionnaire regarding any potential conflicts.

Determining Compensation of the CEO - Form 990 Part VI Section B Ln 15A

The whyy board follows best practices in establishing its executive compensation program, depending exclusively upon advice and analysis from recognized independent consultants. The resultant executive compensation arrangements contain an appropriate mix of base salary as well as variable short and long-term benefits tied to performance metrics. Compensation design is therefore driven to be competitive with other regional for- and not-for-profits of similar size and complexity in and out of the media sector.

Public Availability of Financials - Form 990 Part VI Section C Ln 19

Upon request of a member of the public, all such policies and statements are available for inspection. All are housed in either whyy's public files or the legal or human resources department.

* COMPENSATION - FORM 990, PART VII, SECTION A

COMPENSATION WHYY has a non-qualified supplemental retirement plan (KEYSOP) funded as deferred compensation for eligible employees. For Mr. Marrazzo, options in the KEYSOP became due beginning with his 65th birthday in 2014 and will continue through 2018. Compensation included in Column D is reported in accordance with IRS guidelines, which require that all not-for-profit organizations report deferred employee compensation in both the year that it is earned and then again in the year that it is disbursed. As a result, included in the W-2 compensation for Mr. Marrazzo is $86,723 of payments made associated with options exercised under the KEYSOP. WHYY previously included the value of these options in Mr. Marrazzo's compensation in prior years and therefore the value of the payments is not additional compensation to him for the 2016 calendar year covered by the W-2 reported here. Bonuses Column D includes bonuses previously accrued for the year ending June 30, 2016. Bonuses are performance based and subject to the approval of the Executive Committee of the Board of Directors.

All OTHER PROGRAMS COMBINED - FORM 990 PART III LN 4D

Last summer, all eyes turned to the Greater Philadelphia area as the trial of "America's Dad" got underway. Before it began, WHYY brought together prominent personalities and ordinary people from the City of Brotherly Love to examine the controversial life and career of Philly's own Bill Cosby. Cosby Unraveled, a 3-part podcast from WHYY, explored Cosby's beginnings in the projects of North Philadelphia, the heights of his influence, and the causes of his downfall. Award winning columnist and WHYY reporter Annette John-Hall spoke with former Philadelphia Mayor Wilson Goode, five time Grammy Award winner Christian McBride, scholar and author Michael Eric Dyson and a host of others to find the truth behind the stories and get to the heart of decades of hype surrounding this beloved yet controversial figure. As the trial proceeded, Cosby Unraveled brought listeners trial updates and additional coverage. WHYY continues to help increase student enagement with widely successful video and audio production classes, afterschool programs and summer programs. For the past decade, WHYY programming has taught young people to explore their environment, problem solve, tell stories and succeed in creative professions. WHYY engaged 2,977 students, teachers and community members in FY17 in hands-on media arts training through the program. Three years ago, WHYY launched a $1.7 million project to bring media labs to 27 schools in the Philadelphia area. With five launched during year one and ten added in year two, participant surveys found that the students and teachers learn video and audio production, critical thinking, STEM education skills, problem solving, research, develop a strong sense of self-efficacy and are better prepared for a wide variety of workplaces. Students are also learning valuable life skills like how to work in teams, how to plan projects, and how to solve difficult problems.
