The miquon school treasures and celebrates childhood. We give our students time to play and grow. Our program and our environment encourage wonder, inquiry, independence, and discovery. We seek to create confident, life-long learners who will move out into the wider world with strong academic and social skills, intense personal interests, a love for the arts, and a commitment to building inclusive and peaceful communities. We are dedicated to learning together in the rich tradition of progressive education that is our founders' legacy.

Quality private education provided as an alternative to the public school system.

Governance Explanations

Form 990, Part VI, Section A, Line 6

The membership of the corporation shall consist of all parents or guardians of pupils currently enrolled in the school, all regularly employed staff members of the school, and all members of the board of directors.

Form 990, Part VI, Section A, Line 7A

Each member of the corporation shall have equal voting rights on any question. No member may vote by proxy on any question. All votes shall be by secret ballot. Any decision made at a meeting of the membership of the corporation shall require a majority vote of the members present, except for an election of directors when the number of nominees does not exceed the number of vacancies. In this situation, the secretary of the corporation shall declare all nominees elected by acclamation. At the annual meeting of the corporation, the membership of the corporation shall elect new directors to fill all available director positions.

Form 990, Part VI, Section B, Line 11

The business manager performs an initial review of the return. Once the business manager approves the return, the board of directors reviews the form 990 via access through the organization's web site. The process is completed before the form 990 is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization reviews the conflict of interest policy and any possible changes affecting its status every year. No director or officer, or immediate family, or entity owned by, employed by, or employing any director or officer, may do business with the organization without the facts of the transaction fully disclosed and expressly authorized by a majority of directors. Any board member, officer, or key employee is required to inform the board of directors of any potential or actual conflict of interest. The whole board monitors the policy and will make any decisions regarding the resolution of any conflicts. Any interested party to a conflict will abstain from discussions and decision-making related to the conflict.

Form 990, Part VI, Section B, Line 15

The business manager for the school compares salaries from similar independent schools at contract renewal time for the head of school. The business manager presents her findings, designed to ensure the head of school's compensation is within fair market range for the industry, to the board chairman. The chair then provides the executive committee with the business manager's analysis which they use to make a final determination on salary. Executive committee discussions are in closed session.

The school accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. The school's federal exempt organization business income tax returns for the fiscal years ending june 30, 2014, 2013, and 2012 remain subject to examination by the irs. The school's policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses. There were no unrecognized tax benefits recorded during the periods presented in the accompanying financial statements.
