Governance Explanations

Form 990, Part VI, Section A, Line 6

The public is invited to join as a member of the organization. Membership applications are widely distributed annually.

Form 990, Part VI, Section B, Line 11B

The audit committee will review and approve the form 990 before it is sent to the board of directors. Once the board of directors has reviewed the 990, it is then filed with the irs.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, a board member must disclose the existence of the financial interest and be given the opportunity to disclose all material facts. After disclosure and after discussion with the interested person, he/she shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board shall decide if a conflict of interest exists. The chairperson of the board shall if appropriate appoint a disinterested person or committee to investigate alternatives to the proposed transaction. After executing due diligence, the board shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction is not reasonably possible, the board shall determine by majority vote of the disinterested directors whether the transaction is in the organization's best interest and whether it is fair and reasonable. In conformity with this determination it shall make its decision as to whether to enter into the transaction. If the board has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation, the board determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate and corrective action.

Form 990, Part VI, Section B, Line 15

IRS990/ProgSrvcAccomActy2Grp/Desc0PRESERVE PUBLIC ART: THE APA'S COLLECTIONS MANAGEMENT AGENDA FOR 2019 INCLUDED OUTDOOR SCULPTURE CONSERVATION, SPECIAL CONSERVATION TREATMENTS, SCULPTURE LIGHTING ASSESSMENT AND SIGNAGE SURVEY, CONSERVATION PLANNING FOR "LAW, PROSPERITY AND POWER, AND LANDSCAPE CONSERVATION.OUTDOOR SCULPTURE CONSERVATION: THE APA'S ANNUAL OUTDOOR SCULPTURE CONSERVATION PROGRAM IS THE LONGEST CONTINUOUSLY OPERATING OUTDOOR SCULPTURE CONSERVATION PROGRAM IN THE NATION. DURING FY2019 OVER 30 BRONZE AND MARBLE SCULPTURES OF HISTORIC AND ARTISTIC SIGNIFICANCE RECEIVED TREATMENT. THE SCULPTURES WERE INSPECTED, CLEANED, AND STABILIZED TO PROTECT THEM FROM FURTHER DETERIORATION. SPECIAL CONSERVATION TREATMENTS: SPECIAL TREATMENTS INCLUDED REPLACING MISSING BENCH SLATS FOR JOHN KINDNESS' "THE LABOR MONUMENT" IN SOUTHWEST PHILADELPHIA, AND TREATING WOODEN WORKS "EMBODYING THOREAU" BY ED LEVINE AND "PAVILION IN THE TREES" BY MARTIN PURYEAR FOR INSECTS AND WOOD ROT, AND REPLACING FLOOR JOISTS AND BOARDS. AS PART OF OUR STEWARDSHIP, ONGOING MAINTENANCE EMERGENCIES - INCLUDING STORM DAMAGE, VANDALISM, AND GRAFFITI - WERE ALSO ADDRESSED. DUE TO THE FAILURE OF A WATER PIPE IN APA'S OFFICE ARCHIVES THE YEAR PRIOR, WE WORKED WITH THE CONSERVATION CENTER FOR ART & HISTORIC ARTIFACTS ON THE PRESERVATION AND TREATMENT OF AFFECTED DOCUMENTS, AND MADE COMPREHENSIVE STORAGE IMPROVEMENTS TO PROTECT APA'S HISTORIC RECORDS FROM FUTURE DAMAGE.SCULPTURE LIGHTING ASSESSMENT & SIGNAGE SURVEY: THE LIGHTING DESIGN COLLABORATIVE (LDC) COMPLETED AN ASSESSMENT OF THE CURRENT CONDITIONS OF THE SCULPTURE LIGHTING ON KELLY DRIVE BASED ON THEIR 2001 DESIGNS, WITH ESTIMATES AND RECOMMENDATIONS, INCLUDING CONVERTING LIGHT FIXTURES TO LONGER LASTING LEDS. THE ASSESSMENT WAS COMPLETED IN FALL 2019, AND PLANNING CONTINUES FOR FUNDRAISING AND IMPLEMENTATION. THE APA ADDITIONALLY ENGAGED ITS FORMER ARCHIVES PROJECT COORDINATOR TO UNDERTAKE AN INVENTORY AND CONDITION ASSESSMENT (INCLUDING OWNERSHIP INFORMATION) OF ALL THE MUSEUM WITHOUT WALLS SIGNS LOCATED THROUGHOUT THE CITY."LAW, PROSPERITY AND POWER" CONSERVATION PLANNING: DURING 2019 THE APA WORKED WITH THE CITY'S OFFICE OF ARTS, CULTURE, AND THE CREATIVE ECONOMY (OACCE), PHILADELPHIA PARKS AND RECREATION, AND THE MANN MUSIC CENTER ON PLANS FOR THE COMPREHENSIVE CONSERVATION TREATMENT OF THE SCULPTURE "LAW, PROSPERITY & POWER" (1880) BY DANIEL CHESTER FRENCH, LOCATED AT THE MANN. THE APA AND PARKS & RECREATION WORKED WITH THE OACCE TO DEVELOP AN RFP FOR THE PROJECT, AND PLANNING CONTINUES FOR FUNDRAISING AND IMPLEMENTATION. LANDSCAPE CONSERVATION: THE APA CONTINUES TO CARRY OUT LANDSCAPE CONSERVATION AT THE "ELLEN PHILLIPS SAMUEL MEMORIAL SCULPTURE GARDEN." OVERALL PRESERVATION CONCERNS ARE BROADCAST THROUGH THE MEDIA, BUILDING INTEREST AND FINANCIAL SUPPORT FOR CONSERVATION THROUGH CONTRIBUTORS TO APA'S CONSERVATION SOCIETY. THE APA ALSO ADVISES AND COLLABORATES WITH PRIVATE AND PUBLIC ORGANIZATIONS, INCLUDING PHILADELPHIA PARKS & RECREATION, THE CITY'S PUBLIC ART OFFICE, THE PRESERVATION ALLIANCE, AND THE FAIRMOUNT PARK CONSERVANCY (FORMERLY FAIRMOUNT PARK HISTORIC PRESERVATION TRUST) TO PROMOTE AWARENESS AND THE NEED FOR ONGOING CARE OF THE CITY'S HISTORIC TREASURES.
