Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the duly elected officers of the board, the head of school and the chairperson of the committee on trustees, the finance committee, the development committee, the investment committee, the buildings and grounds committee, and the head evaluation committee. The executive committee has the full authority of the board to act in emergencies or when prudent management requires prompt action during the periods between meetings of the board. Such actions of the executive committee shall require a three-quarters vote of the members of the committee, shall be communicated promptly to the trustees, and shall be presented to the board for formal ratification at the board's next meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by the finance committee. After approval by the finance committee, the complete form 990 is shared with the entire board prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to all trustees and executive-level administrative employees. Potential conflicts are reported to the chair of the board, the head of school, the director of finance and operations, and the board's executive committee. These parties consult with each other to determine if an actual conflict exists. The final decision belongs to the chair of the board, unless the potential conflict involves that person; then, it goes to the head of the school in consultation with the executive committee of the board. If a conflict is identified, a determination is made about the potential for such a conflict to compromise the school's well-being which involves questions of magnitude (usually financial), consequences, alternatives, etc. The well-being of the school, its students/families, its faculty/staff, and its overall community is always the primary basis for a decision as to whether or not the school can proceed despite the conflict. Annual disclosure of actual and potential conflicts is required.

The executive committee determines the compensation of the head of school using compensation data from the school's local and national associations and the results of the head of school's annual review by the head evaluation committee. Compensation decisions are timely documented in a letter from the chair of the board to the head of school.

Investment income generated by the endowment investments supports the educational programs of the school.

PART X, LINE 2:

Solebury school is tax-exempt under section 501(c)(3) of the internal revenue code. Accordingly, no provision for income taxes has been made in the accompanying financial statements. It has been classified as an organization that is not a private foundation under section 509(a)(1) of the internal revenue code and qualifies for the maximum charitable contributions deduction for individual donors. The school accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. The school's policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operation expenses. There were no unrecognized tax benefits recorded during the periods presented in the accompanying financial statements.

THE STUDENT BODY CAME FROM 5 COUNTRIES (NOT INCLUDING THE US) AND 14 STATES, AND OUR 2021 GRADUATES WENT ON TO ATTEND 50 DIFFERENT COLLEGES IN 14 STATES AND 2 COUNTRIES (A 97% PLACEMENT RATE).CONTINUED ON SCHEDULE O.SOLEBURY SCHOOL HAS THRIVED (TO THE DEGREE POSSIBLE) THROUGHOUT THE CORONAVIRUS PANDEMIC THANKS TO EARLY ACTION, COHERENT (IF OFTEN CHANGING) COVID PROTOCOLS, EFFECTIVE COMMUNICATIONS, SUPPORT (AND CONTINUED EMPLOYMENT) FOR ALL FACULTY AND STAFF, AND, ABOVE ALL ELSE, A FOCUS ON QUALITY LEARNING AND STUDENT LIFE FOR OUR FAMILIES AND THEIR KIDS. AS A RESULT, WE OPENED THE 2021-2022 SCHOOL YEAR WITH THE HIGHEST ENROLLMENT IN THE HISTORY OF THE SCHOOL. ALL THE INVESTMENTS WE MADE IN OUR PEOPLE, PROGRAMS, FOOD SERVICES, TECHNOLOGY, AND FACILITIES PAID OFF AND, BECAUSE OF THE PAYROLL PROTECTION PROGRAM (PPP) - OUR LOAN WAS COMPLETELY FORGIVEN - WE DID NOT HAVE TO GO TOO FAR INTO OUR CASH RESERVES TO MAKE THOSE INVESTMENTS. THE PPP FUNDS WERE ENTIRELY INVESTED IN PEOPLE (FULL SALARY AND BENEFITS THROUGHOUT - NO LAYOFFS). OTHER THINGS WE INVESTED IN INCLUDED ADDITIONAL STAFF TO SUPPORT THE CONTINUANCE OF THE RESIDENTIAL LIFE AND DINING PROGRAMS, PERSONAL PROTECTIVE EQUIPMENT, TECHNOLOGY (LAPTOPS, MONITORS, SMARTBOARDS, MICROPHONES, AND CAMERAS), TRAINING (WE OFFERED NO ONLINE COURSES PRIOR TO THE PANDEMIC SO WE GAVE OUR TEACHERS FULL ACCESS TO TRAINING IN HOW TO BE EFFECTIVE ONLINE OR HYBRID), FURNITURE, PLEXIGLAS, BIODEGRADABLE FOOD CONTAINERS, PORTABLE AIR FILTRATION SYSTEMS, OUTDOOR CLASSROOMS, RESIDENTIAL ISOLATION UNITS, VIRUS TESTING, ETC. WE CREATED A VIRTUAL OPEN HOUSE, A VIRTUAL 360 TOUR, ADDED WEEKLY PARENT ZOOM CALLS (PARTICULARLY IMPORTANT FOR OUR STUDENTS WHO WERE NOT ABLE TO GO HOME), VIRTUAL RECRUITMENT EVENTS, ETC. WE ARE STILL IN A PERIOD OF UNCERTAINTY, BUT WE ARE OPTIMISTIC ABOUT THE FUTURE OF THE SCHOOL.BECAUSE OF THE NEAR HERCULEAN EFFORTS OF OUR TEACHERS AND STAFF, THE INVESTMENT MADE POSSIBLE BY THE PPP, AND OUR STRONG ENROLLMENT WE HAVE COME THROUGH THIS LAST 20 MONTHS STRONGER THAN WE ENTERED IT. WHAT ENABLED US TO SUCCEED WERE THE INVESTMENTS MADE AND THE WORK DONE TO PROTECT OUR COMMUNITY AND TO CONTINUE DELIVERING THE HIGH-QUALITY EDUCATION THAT OUR STUDENTS AND FAMILIES EXPECTED FROM SOLEBURY SCHOOL.
