“Saint joseph's university (sju) has a conflict of interest policy which sets forth sju's policies and procedures. Annually, those who serve sju in a fiduciary capacity, including board members, officers and other key employees, receive a copy of the policy and an annual disclosure statement to be completed. Disclosures of financial interests or other reportable circumstances, as described in the policy, are submitted and reviewed by sju's general counsel. A summary of all reported disclosures is then prepared by the office of the general counsel and sent to the chairperson of the audit & risk committee, the chairperson of the board and copied to the president; copies of the summaries and actual disclosures are available to the full board upon request throughout the year. The policy contains a continuing affirmative obligation to disclose compensation or other circumstances which may rise to the level of an actual or apparent conflict. The policy also addressed the procedures for the board to follow to further address the actual or apparent conflict, which include consideration without the participation of the interested person, if any. Meetings, discussions and proceedings where a conflict is disclosed are documented in the minutes for each group, as needed and as appropriate.”

“The executive committee of the board, which is comprised of independent board members who have no personal interest in any executive compensation arrangement with the university, annually reviews and approves the compensation that is paid to the jesuit community for the services of the president. The president, in consultation with the executive committee, and based on a review of appropriate comparability data, recommends the compensation to be paid to other applicable university executives. Thereafter, the executive committee reviews, discusses and approves the compensation arrangement of those other university executives based on its review of appropriate comparability data and the president's recommendations. The executive committee documents the basis for its determinations concurrently with its approval of these arrangements.”
