In addition, management specifically meets with the audit, compliance and risk committee to review the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The college monitors and enforces its conflict of interest policy through the use of an annual signed statement from trustees, administrative officers, department directors, and chairpersons. By signing the conflict of interest disclosure statement, an individual certifies that they have reviewed the college's conflict of interest policy, acknowledged responsibility to place the interest of the college above personal interest in executing duties, and discloses any possible personal, familial, and/or business relationships that reasonably could give rise to a conflict of interest involving gettysburg college. Completion of the form is also acknowledgement that individuals have a responsibility under the policy to advise the board of any significant changes. Trustees, administrative officers, or directors who have a conflict of interest in a proposed transaction are required to refrain from participating in consideration of the transaction. Additional restrictions on transactions between the college and (i) a trustee, (ii) a family member of a trustee, (iii) member of president's council, (iv) a family member of a member of the president's council, or (v) any organization with whom any of the foregoing persons have a business relationship (collectively a "disqualified party") exist. As a general policy, the college shall not transact business with a disqualified party, and no disqualified party shall solicit business from the college if it would create a potential conflict of interest. Certain exceptions apply as specified in the policy.

Form 990, Part VI, Section B, Line 15

The executive compensation committee of the board of trustees (the ecc) is charged with the responsibility to regularly review and recommend to the board of trustees for approval adjustments to the compensation of the president. The ecc is further charged with the responsibility to be fully informed about and ratify the compensation status for each of the other officers, based on the recommendations of the president. To assist in the assessment of reasonableness for compensation adjustments for the president and other officers, the ecc periodically retains an independent compensation consultant to compile a compensation study which relies on market data relevant in scope and scale to operating responsibilities within the college. The compensation study, performance reviews and compensation plans are reviewed and endorsed during an ecc meeting. A summary of recommendations for the president's compensation is shared with the full board of trustees. Compensation decisions are reflected in salary letters and amendments to the president's employment agreement as necessary. Deliberations and decisions are formally documented in the minutes which are maintained for all ecc meetings.

Additional Explanations

Part III, Line 1

Gettysburg college is a residential, undergraduate college of the liberal arts and sciences that prepares students from across the nation and around the globe to pursue lives of personal and professional fulfillment and to engage the complex questions of our time through effective leadership and socially responsible citizenship. This statement is grounded in the core values of the institution: 1) the worth and dignity of all people and the limitless value of their intellectual potential; 2) the commitment to a diverse and inclusive learning environment; 3) the power of a liberal arts education to help students develop critical thinking skills, broad vision, effective communication, a sense of the inter-relatedness of all knowledge, sensitivity to the human condition, and a global perspective, all necessary to enable students to realize their full potential for responsible citizenship; 4) the enrichment of the traditional liberal arts and sciences curriculum with the most promising intellectual developments of our time; 5) the free and open exchange of ideas and the exploration of their ethical and spiritual dimensions; 6) the value of a lifelong commitment to service, and the role of the college in both providing an example of public service for students and fostering a commitment to service among our young people; 7) the value of ethical leadership that is inclusive, collaborative, and directed towards effecting change for the greater good; 8) our conviction that a residential college best promotes the sense of community, central to a liberal arts education, in which personal relationships between students, faculty, and staff can flourish.

Financial Statement Notes

PART V, LINE 4:

Endowment assets include those assets of donor-restricted funds that the organization must hold in perpetuity or for a donor-specified period, as well as designated funds. The college has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain purchasing power of the endowment assets over time. Endowment spending supports operations of the college including scholarships and instruction, academic support and student services activities as specifically restricted by the donor or otherwise designated.

PART X, LINE 2:

The college follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the consolidated financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. The college is exempt from federal income tax under internal revenue code (irc) section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the irc. The college has processes in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The college has determined that there are no material uncertain tax positions that require recongnition or disclosure in the consolidated financial statements.
