“The executive committee of the board of directors which shall be composed of all present officers of the board and such board members as the board of directors or the chairperson shall designate provided that the immediate past chairperson may serve. This data in addition to recommendations and a reasonability letter provided by the third-party specialist is reviewed by the compensation committee, validating all executive compensation. The most recent study was conducted in 2022. The deliberation and final decision are timely documented in the board minutes.”
