“The voting membership of the york county bar association (ybca) shall consist of these eligible persons who shall successfully complete the application process as established or modified from time to time by the board of directors, who shall pay their dues and assessments, who shall remain members in good standing in accordance with the by-laws as they may be amended from time to time, and whose membership shall be classified as follows: regular member, junior 4 member, junior 3 member, junior 2 member, new admittee, government and non-profit legal service providers, senior exempt and military exempt. These members are based on years of being admitted to practice before the supreme court of pennsylvania. Associate members are not eligible to hold office, serve as a member of the board of directors, or vote at any annual or special meeting of the ycba. Honorary members: any person, not otherwise a member of the ycba, may be granted membership in the ycba as an honorary member, by affirmative vote of the board of directors. These members are not eligible to hold office, serve as a member of the board of directors, or vote at any annual or special meeting of the ycba.”

“The membership shall elect a president-elect, secretary, and treasurer at the annual meeting. Each year thereafter, the membership shall elect a president-elect, who shall be the president the next succeeding year, a secretary and treasurer.”

“The membership shall vote for any by-laws changes as a governance decision of the organization.”

“The board of directors are given a draft of the form 990 to approve before it is filed.”

“An interested person is an director, principal officer or member of a committee with board-delegated powers who has a direct or indirect financial interest or any familial or potential or actual conflict of interest. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her conflict of interest or potential conflict of interest to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangement. After disclosure of the conflict of interest, the interested person shall leave the board or committee meeting while the conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists, and if the board or committee decides to waive the conflict. If the board or committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. The minutes of the board and all committee with board -delegated powers shall contain: the name of the persons who disclosed or otherwise were found to have an actual or possible conflict of interest, the nature of the interest, any action taken to determine whether a conflict of interest was present and the names of the persons who where present for discussions and votes relating to the transaction or arrangement, the content of the discussion, and a record of any votes taken in connection therewith. Each director, principal officer and a member of a committee with board-delegated powers shall annually sign a statement which affirms that such person a) has received a copy of the conflicts of interest policy; b) has read and understands the policy; and c) has agreed to comply with the policy.”

“Ycba president and hr committee members meet as independent persons, salary studies of peers are reviewed periodically; president meets with and seeks input from staff; both the ycba and foundation presidents meets with ceo to review findings where the deliberations and decisions are documented.”

“The york county bar association makes it financial statements and conflict of interest policy available to the public upon request.”

“The organization did not have any instances where backup witholding was required; however, if the situation would arise, the organization is aware of the reporting requirements and would handle that accordingly.”

“The association's policy is to prepare its financial statements on a modified cash basis.”

“The budget and finance committee assumes responsibility for oversight of the review of its financial statements and selection of an independent accountant. This process has not changed from the prior year.”
