“The chapter has a written conflict of interest policy as recommended by our auditors and drafted by our outside legal counsel. The chapter regularly and consistently monitors and enforces compliance with this policy by distributing our policy annually to our board of directors for their review and signature. Board members are required to disclose annually any potential conflicts of interest to the chapter president's advisory committee who are empowered to act in the best interest of the chapter and in compliance with our policy. The chapter's practices for monitoring proposed or ongoing transactions for conflicts of interest and dealing with potential or actual conflicts is contained in the chapter's written policy regarding conflicts of interest for directors and officers. The persons covered under the policy include all "interested persons" meaning all directors, officers or members of a committee with board-delegated powers who has a direct or indirect financial interest in a transaction with the chapter. All interested parties are requested to annually disclose any conflicts. Whether a conflict actually exists is determined by the president's advisory committee. Any "interested person" is removed from the determination process.”

“The process for determination of the compensation for the chapter's executive director is as follows. The chapter president appoints a budget committee which consists of members of the chapter's advisory committee (the chapter governor, president, vice president and treasurer) and an independent board member. The budget committee meets annually on several occasions to review and approve the operating budget for the chapter and to determine the executive director's compensation. The budget committee reviews the executive director's performance, the financial performance of the chapter and comparability data assembled by neca's financial performance report summaries, including comparable compensation information from neca and other neca chapter's 990 forms and from a national compensation study of association chief staff executives. The organization also hired a third party consultant to conduct a compensation survey. The budget committee, meeting separately from the executive director, then deliberates and determines the compensation for the executive director. The committee then presents the budget to the entire board for discussion and approval. The budget approval is contemporaneously made part of the written minutes of the board meeting.”
