“The form 990 is reviewed by the president/ceo and is then emailed to the finance committee to review and approve. Once the finance committee has approved the form 990, it is sent to the board of trustees for review.”

“Each board member and officer signs a form annually stating that they received a copy of the conflict of interest policy and must disclose any actual or potential conflicts. A leadingage new jersey staff member collects and reviews the signed statements to ensure that all board members and officers have completed the form. Once a conflict is disclosed, the disinterested members of the board of trustees determine if a conflict of interest exists. The affected board member is not allowed to vote on any matter pertaining to the conflict of interest, and the disinterested members will decide whether appropriate action needs to be taken.”

“Salaries are determined annually in conjunction with the review process of the upcoming year's budget during the board meeting. The board approves the aggregate amount available for salary increases, and the president/ceo determines individual salary increases. The goals and objectives for the president/ceo are set by the board which is comprised of executives of not-for profit organizations. The board takes salaries paid by similiar organizations into consideration when recommending any salary increase for the president/ceo. The decisions are documented in the minutes of the meeting.”
