Governance Explanations

Form 990, Part VI, Section B, Line 11B

Roots and wings foundation has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is provided to the members of the organizations governing body for any comments prior to its submission. The governing body is provided with a reasonable amount of time to review the form 990. Any comments are then grouped, summarized and provided through management to the outside accounting firm. Any applicable issues are addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Roots and wings foundation currently has in place a conflict of interest policy which it regularly monitors and enforces. The board mandates that all members of management and the governing body annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. If a potential or actual conflict of interest exists, the governing body and management will investigate the issue. If a conflict of interest is determined to exist management and the governing body will be notified immediately. The member will not be allowed to vote or be a part of any decisions about any such transactions that have to do with the conflict until such time there is no longer a conflict.

Financial Statement Notes

PART IV, LINE 2B:

Roots & wings foundation maintains custodial accounts for its clients. The custodial accounts are set up to hold funds paid by the clients to roots & wings foundation as a means of paying bills and monthly expenses. At the completion of the program, the total amount of funds collected from the individual is then returned back to them.

PART X, LINE 2:

The foundation is a not-for-profit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue code and as classified by the internal revenue service as other than a private foundation. The foundation is also exempt under title 15 of the state of new jersey, corporations and associations not-for-profit act. Accordingly, no provision for federal or state income tax has been presented in the accompanying financial statements. Management has stated that all required tax returns will be filed and applicable taxes paid in a timely manner. The foundation follows the provisions of asc 740-10-50-15, income taxes. The standard prescribes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required to meet before being recognized in the financial statements. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition related to those tax positions. The foundation believes that it has appropriate support for the positions taken on its tax returns and accordingly, has not recorded any tax provision for the year ended december 31, 2018. However, the foundation is subject to audit by the federal and state of new jersey jurisdictions during certain statutory periods. As such, certain tax positions could be challenged and the amounts ultimately paid, if any, upon resolution of the issues raised by the taxing authorities, may differ materially from the amounts filed. As required by law, the foundation files informational returns with the united states federal and new jersey and new york state jurisdictions on an annual basis - form 990 with the internal revenue service, form cri-300r with the state of new jersey, and form char500 with the state of new york. These returns are subject to examination by these authorities within certain statutorily defined periods established by the respective jurisdictions.

FLY CLIENTS RECEIVED APPROXIMATELY 3-4 HOURS PER WEEK OF CASE MANAGEMENT SERVICES. MONTHLY LIFE SKILLS SEMINARS WERE CONDUCTED THROUGHOUT 2018. ROOTS AND WINGS RESIDENTIAL CLIENTS ARE EITHER PURSUING FURTHERING THEIR EDUCATION OR ACQUIRING CAREER AND VOCATIONAL SKILLS THROUGH A VARIETY OF SCHOOLS OR TRAINING PROGRAMS. IN 2018, ROOTS AND WINGS CLIENTS WERE ENROLLED IN MONTCLAIR STATE UNIVERSITY, THE COUNTY COLLEGE OF MORRIS, UNION COUNTY COMMUNITY COLLEGE, MORRIS COUNTY VO-TECH, AND REAL ESTATE LICENSING CLASSES. OVER THIS YEAR ONE CLIENT GRADUATED FROM THE COUNTY COLLEGE OF MORRIS. OTHER 2018 ACCOMPLISHMENTS INCLUDE ANOTHER SUCCESSFUL RISE AND FLY GALA WITH A CLIENT SPEAKER, AND OVER 250K RAISED IN THE SUPPORT OF AGED OUT FOSTER YOUTH. WE CONTINUE TO HAVE A STELLAR AMOUNT OF DONOR AND VOLUNTEER SUPPORT, AND THROUGH THEIR SUPPORT THIS YEAR WE HAVE COMPLETELY REDONE ONE OF OUR OLDER APARTMENTS WITH ALL NEW FURNISHINGS AND PAINT. WE HAVE ALSO SECURED OUR FIRST CONGREGATE APARTMENT BUILDING ALLOWING US TO OFFER INCREASED ON-SITE SERVICES. WE HAVE ALSO WORKED DILIGENTLY WITH OUR CLIENTS TO HELP THEM SECURE AT LEAST PART TIME JOBS. THEY ARE WORKING TOWARDS SAVING A SIGNIFICANT PORTION OF THEIR MONTHLY INCOME, IN A ROOTS AND WINGS SAVINGS ACCOUNT SO THAT THEY HAVE THE MEANS TO SECURE THEIR OWN HOUSING WHEN THEY GRADUATE FROM OUR PROGRAM.

THE FOUNDATION IS ALSO EXEMPT UNDER TITLE 15 OF THE STATE OF NEW JERSEY, CORPORATIONS AND ASSOCIATIONS NOT-FOR-PROFIT ACT. ACCORDINGLY, NO PROVISION FOR FEDERAL OR STATE INCOME TAX HAS BEEN PRESENTED IN THE ACCOMPANYING FINANCIAL STATEMENTS. MANAGEMENT HAS STATED THAT ALL REQUIRED TAX RETURNS WILL BE FILED AND APPLICABLE TAXES PAID IN A TIMELY MANNER. THE FOUNDATION FOLLOWS THE PROVISIONS OF ASC 740-10-50-15, INCOME TAXES. THESE RETURNS ARE SUBJECT TO EXAMINATION BY THESE AUTHORITIES WITHIN CERTAIN STATUTORILY DEFINED PERIODS ESTABLISHED BY THE RESPECTIVE JURISDICTIONS.
