Governance Explanations

Form 990, Part VI, Section B, Line 11

Roots and wings foundation has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is provided to the members of the organizations governing body for any comments prior to its submission. The governing body is provided with a reasonable amount of time to review the form 990. Any comments are then grouped, summarized and provided through management to the outside accounting firm. Any applicable issues are addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Roots and wings foundation currently has in place a conflict of interest policy which it regularly monitors and enforces. The board mandates that all members of management and the governing body annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. If a potential or actual conflict of interest exists, the governing body and management will investigate the issue. If a conflict of interest is determined to exist management and the governing body will be notified immediately. The member will not be allowed to vote or be a part of any decisions about any such transactions that have to do with the conflict until such time there is no longer a conflict.

Financial Statement Notes

PART IV, LINE 2B:

Roots & wings foundation maintains custodial accounts for its clients. The custodial accounts are set up to hold funds paid by the clients to roots & wings foundation as a means of paying bills and monthly expenses. At the completion of the program, the total amount of funds collected from the individual is then returned back to them.

PART X, LINE 2:

The foundation is a not-for-profit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue code and as classified by the internal revenue service as other than a private foundation. The foundation is also exempt under title 15 of the state of new jersey, corporations and associations not-for-profit act. Accordingly, no provision for federal or state income tax has been presented in the accompanying financial statements. Management has stated that all required tax returns will be filed and applicable taxes paid in a timely manner. The foundation follows the provisions of asc 740-10-50-15, income taxes. The standard prescribes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required to meet before being recognized in the financial statements. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition related to those tax positions. The foundation believes that it has appropriate support for the positions taken on its tax returns and accordingly, has not recorded any tax provision for the year ended december 31, 2014. However, the foundation is subject to audit by the federal and state of new jersey jurisdictions during certain statutory periods. As such, certain tax positions could be challenged and the amounts ultimately paid, if any, upon resolution of the issues raised by the taxing authorities, may differ materially from the amounts filed. As required by law, the foundation files informational returns with both the federal and new jersey state governments on an annual basis - form 990 with the internal revenue service, and form cri-300r with the state. These returns are subject to examination by these authorities within three years from the latest filing date for federal and four years from the latest filing date for new jersey.

WE HAVE HAD ONE CLIENT GRADUATE FROM MONTCLAIR STATE UNIVERSITY AND OBTAIN FULL TIME EMPLOYMENT IN THE NON-PROFIT ARENA. WE HAD 4 CLIENTS ATTENDING FOUR YEAR COLLEGES AND ANOTHER 3 CLIENTS ATTENDING A COUNTY COLLEGE, AS WELL AS, A CLIENT ATTENDING HIGH SCHOOL. ALL OF OUR CLIENTS RECEIVED LIFE SKILLS TRAINING AND ATTENDED MONTHLY SEMINARS. IN 2014 WE HELD 12 SEMINARS ON TOPICS SUCH AS: BUDGETING, WELLNESS, NUTRITION, RESUME AND INTERVIEW TECHNIQUES, PERSONAL HEALTH AND FITNESS. WE HAVE ALSO EXPANDED OUR CURRICULUM AND ADDED RESOURCES FOR OUR CLIENTS TO USE. IN PARTICULAR, RESUME BUILDING, JOB SKILLS, AND INTERVIEWING RESOURCES. IN 2014 WE WERE ABLE TO ADD A DEEP FREEZER TO OUR FOOD PANTRY BY WAY OF A GENEROUS DONATION. IT IS WONDERFUL TO HAVE ITEMS SUCH AS FROZEN FRUITS, VEGETABLES AND BREAD. BESIDES FOOD, THE PANTRY ALSO INCLUDES SCHOOL AND APARTMENT SUPPLIES. WE HAD SEVERAL SCHOOL GROUPS AND SCOUT TROOPS HOLD FOOD DRIVES, AS WELL AS, COME FOR A TOUR OF ROOTS & WINGS. IT IS A GREAT WAY TO SPREAD OUR MISSION AND HAVE YOUTH GET INVOLVED IN OUR ORGANIZATION. THE FOOD PANTRY WAS VISITED OVER 190 TIMES IN 2014.THE HOLIDAY GIFT DRIVE WAS VERY SUCCESSFUL THIS YEAR. WE RECEIVED AN ESTIMATED $15,000 IN GOODS AND GIFT CARDS, WHICH IS $2,000 MORE THAN LAST YEAR. I ALSO SECURED $500 TOWARDS THE FOOD FOR THE PARTY. THE PARTY ITSELF WAS SUCCESSFUL AS WELL WITH OUR HIGHEST ATTENDANCE YET. WE HAD ABOUT 40 ATTENDEES. IT IS WONDERFUL TO SEE ALL OUR PAST CLIENTS RETURN AND LEND SUPPORT TO OUR CURRENT CLIENTS.

HOWEVER, THE FOUNDATION IS SUBJECT TO AUDIT BY THE FEDERAL AND STATE OF NEW JERSEY JURISDICTIONS DURING CERTAIN STATUTORY PERIODS. AS SUCH, CERTAIN TAX POSITIONS COULD BE CHALLENGED AND THE AMOUNTS ULTIMATELY PAID, IF ANY, UPON RESOLUTION OF THE ISSUES RAISED BY THE TAXING AUTHORITIES, MAY DIFFER MATERIALLY FROM THE AMOUNTS FILED. AS REQUIRED BY LAW, THE FOUNDATION FILES INFORMATIONAL RETURNS WITH BOTH THE FEDERAL AND NEW JERSEY STATE GOVERNMENTS ON AN ANNUAL BASIS - FORM 990 WITH THE INTERNAL REVENUE SERVICE, AND FORM CRI-300R WITH THE STATE. THESE RETURNS ARE SUBJECT TO EXAMINATION BY THESE AUTHORITIES WITHIN THREE YEARS FROM THE LATEST FILING DATE FOR FEDERAL AND FOUR YEARS FROM THE LATEST FILING DATE FOR NEW JERSEY.
