“Icmec undergoes an annual independent audit conducted by an outside accounting firm which produces an audited financial statement for the organization. The independent auditor also prepares the form 990. Management reviews the form 990 and compares it to the audit information. The board of directors finance and audit committee reviews the form 990 to make sure it matches the audit and that the 990 includes all required program and financial information. Upon approval of the 990 by the finance and audit committee, the 990 is made available to all board members prior to filing. The independent auditor files the 990 on behalf of the organization.”

“Each year all members of the board of directors and organization key staff must reaffirm that the conflict of interest form on file with the organization is accurate and complete. The conflict policy and conflict disclosure form notify staff they are required to notify the organization if a potential conflict situation arises between the annual disclosures. All new staff and members of the board fill out a conflict statement. Any potential conflict situations are disclosed to the board of directors which decides if a conflict exists and what actions are necessary based on any conflicts that are determined.”

“The process for determining compensation and benefits of employees and officers is an ongoing responsibility of management in consultation with the human resources department. A broad range of factors are considered when reviewing compensation and benefits including budget, number of employees, position, expertise required, scope of responsibilities, experience and length of service, complexity of the organization, nature and scope of the programs and services provided, institutional knowledge, and performance, among other things. The board of directors reviews and approves the compensation and benefits for the president and ceo. The president and ceo, in consultation with the board of directors, reviews and approves the compensation and benefits of other officers and key employees. These decisions are properly documented.
