“The form 990 was prepared by the outside accountants based on information provided by the finance team. The completed form 990 will be provided to the national board of directors in advance of the filing deadline, to ensure a detailed and conscientious review by all board members. All questions and concerns of the board will be addressed by management and incorporated into the return as appropriate. Senior management of buildon will file the final form 990, as required.”

“The chair of the governance committee of the national board of directors requests all officers, directors, and key employees disclose interests that could give rise to conflicts. It is required that each director, officer, and key employee annually complete and sign a disclosure statement. If a conflict of interest arises, the related party discloses the nature of such interest and all material facts relating to the issue to the governance committee of the board of directors. The related person recuses him/herself during debate or voting on the transaction, but may otherwise be present to answer questions. The chair of the board's governance committee documents the basis for the board of directors' determination, including a record of the discussion preceding the vote, and any documentary or other data reviewed by the directors, in the minutes of the meeting or otherwise, but in all events prior to the next meeting of the board or committee, and the minutes or other records are approved as accurate and complete at the next meeting.”

“The ceo's performance is reviewed on an annual basis by the governance committee of the national board of directors. The governance committee sends the performance review to the national board of directors for comment, then compiles all comments, conducts the performance review, and makes a recommendation to the finance committee regarding the ceo's salary. The finance committee ultimately determines the compensation of the ceo using comparable compensation, obtained from compensation surveys of similarly situated organizations. The ceo received a salary increase in january 2018. The cro, cfo, cmo, and cpos are all officers of the company, and with the national board of directors' approval, the ceo reviews and sets the salaries of the officers, based upon comparable compensation obtained from compensation surveys of similarly situated organizations. All performance reviews are documented in the employee's personnel file. All officers received a performance review in january 2018.”
