Any potential conflicts are further evaluated by the ceo, and if warranted, are brought to the attention of the board for discussion and resolution. Similarly, any potential conflicts of interest that are brought to the attention of the organization by the outside auditors or by an employee or other person are investigated and resolved in accordance with the procedures discussed above.”

“The organization uses 3rd party salary surveys to assist in determining the compensation of the ceo and other key employees. Recommendations made by the governance committee are approved by the board of directors. The compensation of the ceo is documented in an employment contract approved by the board. Key employees are reviewed upon changes in roles or significant changes in responsibility. The last review for the organization's ceo and executive directors occurred during february of 2014.”
