Governance Explanations

Form 990, Part VI, Section B, Line 11B

The foundation uses an outside accounting firm to prepare its form 990. Once the form 990 is prepared, it is reviewed by the president, the director of finance, the chair of the board, the treasurer, the chairperson of the governance committee and presented to the finance & investment committee. Once approved by the finance & investment committee, a copy of the return is provided to the full board of directors before it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The foundation has a conflict of interest policy in place which applies to the officers, directors, and any members of committees formed by the board of directors of the foundation ("covered individuals"). Annually, all covered individuals must sign a statement affirming that they: 1) have received a copy of the conflict of interest policy, 2) have read and understand the policy, 3) agree to comply with the policy, and 4) have disclosed any potential or actual conflicts of interest. Covered individuals must disclose any potential or actual conflict of interest as they arise to the board of directors or the relevant committee(s) considering a proposed transaction or arrangement. After disclosure of all relevant facts, the person having the potential or actual conflict of interest ("interested person") must leave the meeting, and the remaining disinterested persons determine whether an actual conflict of interest is present. If the disinterested persons determine a conflict of interest is present, the chair of the board or the committee has the power to appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. If a more advantageous transaction or arrangement is not reasonably possible, the board or committee decides whether to proceed with the proposed transaction or arrangement by a majority vote of the disinterested persons present. The board or committee may also consult with the foundation's legal counsel if warranted. Additionally, the foundation has a governance committee with the authority to conduct periodic reviews as the committee deems fit.

Form 990, Part VI, Section B, Line 15A

The foundation has a process in place for evaluating the compensation package of its president which includes: 1. Review and approval by the board of directors through the annual budgetary process, 2. Use of comparable data obtained through the corporation for public broadcasting portal for individuals in similar roles, 3. Contemporaneous documentation of any deliberations and decisions regarding the president's compensation package. This process was undertaken during fy2021.

The foundation makes its form 990 and form 1023 available for public inspection as required under section 6104 of the internal revenue code. The return is available on guidestar.org and other similar types of websites. The foundation makes its audited financial statements and form 990 available on its website. The foundation is exempt from income tax under irc section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the internal revenue code. The foundation has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The foundation has determined that there are no material uncertain tax positions that required recognition or disclosure in the financial statements.
