“The norwich free academy shall have the right to elect the board of directors of the corporation, to remove any member at any time regardless of term for which such member may have been elected, to vote upon all matters on which members are entitled to vote under the nonstock corporations act of the state of connecticut, and to act on any other matters on which are required or permitted per the bylaws.”

“The foundation has no other committees with authority to act on behalf of the governing body.”

“The form 990 is presented to the full board for review and approval at a regularly scheduled or special meeting.”

“Each board member, officer, and key employee receives the conflict of interest policy on an annual basis. They are required to sign an acknowledgement that they understand and have complied. The conflict of interest policy is monitored by all norwich free academy senior leadership and enforced through the human resources office with assistance from the finance office. At the board level, per the policy, all board members are required to submit yearly testimonials affirming they understand the policy and have no conflicts. If they were found to have been not truthful they would be subject to censure and removal from the board if applicable and as determined by the board and senior leadership. All nfa foundation employees are subject to the policy as well, any suspicions of financial or other conflicts are to be reported to the human resources office immediately. After investigation, employees who are found to have violated the policy are subject to disciplinary action up to and including termination. Additionally, any funds involved in such an investigation will be frozen by the finance office and purchase orders or checks related to the funds shall not be issued until the investigation concludes. All employees and members of the community are reminded to be kept up to date on school policies every year. This policy is highlighted in particular.”

“Compensation of the executive director is approved by the board of directors. The process described here was last completed in 2025.”
