“The executive committee shall be composed of all officers, except the executive director (if there is one). The executive committee shall have and exercise the authority of the board in the management of the charitable operations of the foundation whenever it may be impracticable to convene a meeting of the board, but shall report on any actions it may take to the board not later than the next scheduled meeting of the board. The executive committee shall not have any power or authority as to the following: - the submission to the member of any action requiring approval of the member under the act; - the filling of vacancies in the board; - the adoption, amendment or repeal of the bylaws; - the amendment or repeal of any resolution of the board; or - action on matters committed by the bylaws or by resolution of the board to another committee of the board.”

“Jevs foundation's sole member is jevs human services, a non-stock nonprofit pennsylvania corporation which has been recognized by the internal revenue service as exempt from federal taxation under section 501(c)(3) of the internal revenue code and as a public charity under sections 170(b)(1)(a)(vi) and 509(a)(1) of the internal revenue code.”

“Jevs human services elects the board of directors of jevs foundation.”

“Jevs foundation's bylaws provide that the following requires jevs human service's approval: (1) any merger, dissolution, or liquidation of the corporation; (2) any amendment to the corporation's articles of incorporation or bylaws; (3) the sale, pledge, lease (but only a lease from the corporation of substantially all of the corporation's real property), or other transfer of the assets of the corporation other than transactions occurring in the ordinary course of business; (4) the adoption of the corporation's annual capital and operating budget; (5) any changes in the scope of the corporation's mission or activities; (6) the issuance or assumption of indebtedness in excess of twenty-five thousand dollars ($25,000) by the corporation; (7) the adoption of investment and spending policies with respect to the assets of the corporation; (8) the execution of any contract providing for the management of the corporation; (9) the termination of the executive director, if any; (10) the approval of the tax and/or regulatory filings of the corporation; (11) the approval of the reviewed or audited financial statements of the corporation; and (12) the approval of any strategic plan of the corporation.”

“The form 990 is prepared by an independent accounting firm. The senior management team completes the initial review of the form 990. The form 990 is subsequently presented to the full board of directors for review, comment, and discussion. Following the board review process, the form 990 is released for filing with the internal revenue service.”

“All board members, senior management, key and highly compensated employees are required to complete a conflict of interest statement annually. The cfo of the member will review will review all conflict-of-interest statements completed and bring any conflicts disclosed to the attention of the finance committee of the member. The committee shall evaluate each conflict identified to determine whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. After the committee has completed its analysis, it shall vote on whether to enter into the transaction or arrangement. Approval shall be by majority vote of directors or committee members free of the conflict under consideration.”

“Jevs foundation did not compensate any individual that meets the irs definition of officer or key employee.”

“Jevs foundation makes its governing documents, conflict of interest polices and financial statements available to the public upon request. Requests can be placed via telephone, email or in writing. Copies of requested documents are sent to the public via email or regular mail.”
